Description:
Reporting to the CEO, this position carries out the legal processes necessary to effect the rights, privileges, and obligations of a government federal contracting company. The position gathers evidence and information and provides analysis for management decision-making. Daily tasks include reviewing and drafting of various Corporate and Contract legal instruments and documents, such as contracts, agreements, policies, leases, licenses, assets purchases, and sales.
International experience with Middle Eastern countries is required.
Responsibilities:
- Studies statutes, decisions, and ordinances of quasi-judicial bodies. Gathers evidence and information for management decision-making.
- Reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.
- Applies for copyrights or registration of the organization's products, processes, devices, and trademarks.
- Advises officials on tax matters, government regulations, and/or legal rights.
- Conducts contract negotiation and administration of routine contracts or subcontracts.
- Creates and files all legal forms with governmental authorities in the creation of companies.
- Analyzes estimates of service, material, equipment, and production costs.
- Reviews contract performance requirements ensuring contract and/or subcontract are in accordance with legal requirements, customer specifications, and government regulations.
- Creates and issues contract and/or subcontract financial program documents in accordance with company policy.
- Structures contractual terms to reflect company business strategy.
- Initiates internal documentation to authorize and direct work in accordance with contractual specifications.
- Monitors company performance on contractual obligations.
- Manages all board and committee meeting logistics, attends and records minutes of all board and committee meetings, and facilitates board communications.
- Maintains key corporate documents and records. Examines, evaluates, and investigates eligibility for or conformity with laws and regulations governing establishing domestic as well as foreign companies and entities.
- Ensures compliance of licenses, permits, and required filings for foreign entities.
- Manages and maintains the corporate insurance program, including renewals and claims on General/Professional/Employer/Management/Cyber/Auto Liability, DBA, and Aviation insurance.
- Provides strategic leadership and supports compliance with all U.S. International trade control laws and regulations.
- Serves as the designated Empowered Official per (22 CFR 120.25) of the ITAR for the organization.
- Drafts and submits export license applications, agreements, and commodity jurisdictions to DDTC as well as other export authorization requests to the Dept. of Commerce's Bureau of Industry and Security ("BIS") and the Dept. of the Treasury's OFAC as necessary.
- Maintains and implements company export control procedures and training, as needed, to ensure a robust export compliance program.
- Serves as Ethics Officer, and investigates all reported violations or infractions of the Company's Standards of Conduct or actions inconsistent with Policy and Procedure.
- Other duties as assigned.
Qualifications:
The successful candidate will have at least 4-6 years of work-relevant experience applying business law. Excellent knowledge and understanding of corporate law and procedures; full comprehension of the influences of the external environment of a corporation; demonstrated ability to create legal defensive or proactive strategies; a high degree of professional ethics and integrity; sound judgment and ability to analyze situations and information; outstanding communication skills.
Education Required:
- Completion of Law School LLB degree or JD degree and admission to the bar.
Security Clearance Required:
- Active Secret Clearance or the ability to obtain a Secret Clearance.
Certifications/Licenses:
- Licensed member in good standing of the Alabama State Bar.
