Independent Contractor Agreement
This AGREEMENT is entered into this ______ day of ______________, 20__, between Safe Passage Children’s Advocacy Center (SPCAC) and (Contractor).
WHERAS, SPCAC and Contractor desire to enter into an Agreement whereby Contractor shall provide services (as defined in Exhibit A) to SPCAC on a contract basis, the parties hereby agree as follows:
- This Agreement shall be for the length of engagement as outlined in Exhibit A. This Agreement may be terminated by Contractor upon 30 days written notice and by SPCAC at any time, with or without prior notice.
- Contractor will provide and be paid for services in accordance with Exhibit A. This Agreement shall not render the Contractor an employee, partner, agent of, or joint venture with SPCAC for any purpose. The Contractor is and will remain an independent contractor in its relationship to SPCAC, operating at his/her own risk, discretion and responsibility. As outlined in Exhibit A, SPCAC shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder. The Contractor shall have no claim against SPCAC hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind and agrees to indemnify SPCAC for such claims. The Contractor shall have no authority to assume or create any obligations on behalf of or in the name of SPCAC as the agent or legal representative thereof or to bind SPCAC for any purpose whatsoever, except upon the specific written authorization of SPCAC.
- Contractor shall obtain and maintain all applicable certificates and provide proof of same to SPCAC within 30 days of entering into this contract.
- Contractor shall maintain and provide SPCAC with proof of comprehensive and professional liability insurance within 30 days of entering into this contract.
- Without prior authorization, Contractor shall not solicit sales of any product or service of any kind to any SPCAC member or employee.
- As further defined in Exhibit A, the Contractor shall be solely liable and responsible for all business expenses incurred by contractor, and shall indemnify and hold SPCAC harmless from claims made by any entity for payment for such expenses incurred, unless mutually agreed upon by SPCAC and the Contractor.
- Contractor agrees to indemnify defend and hold SPCAC and any affiliated or related corporations, and their agents and employees, harmless from and against any and all liability, expenses (including court costs, attorneys’ fees, and expert witness fees) and claims for damage of any nature whatsoever, whether known or unknown, which SPCAC may incur, suffer, become liable for, or which may be asserted or claimed against SPCAC as a result of the acts, errors or omissions of the Contractor or Contractor’s employees.
- Contractor agrees that all SPCAC proprietary and confidential information including but not limited to donors and funding sources, marketing strategies, contract information, programs, etc., shall remain private and confidential. Contractor agrees that he/she will not at any time, now or in the future, divulge, disclose or communicate, either directly or indirectly in any manner whatsoever, any confidential information to any person, firm or business, unless specifically authorized in writing in advance by the SPCAC Executive Director.
- This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado and the courts of Colorado shall have exclusive jurisdiction over any dispute between the parties. This Agreement is the only agreement between the parties, it supersedes all other agreements between the parties, and it may be amended only in writing signed by both parties.
WHEREAS, the parties have executed this Independent Contractor Agreement as of the day and year first above written.

Project Definition
Contractor shall provide forensic interviewing services for SPCAC for children ages 3 -18, as well as vulnerable adults, who are alleged to be victims of or witnesses to abuse and/or violence using research-based interview protocol and techniques in a developmentally appropriate manner to elicit information.
Contractor shall be compensated for Court preparation and testifying. Testifying may be compensated through the appropriate District Attorney’s Office.
Contractor and agency will agree to a minimum of 1 day per week in office for the hours of 8am-1pm to conduct forensic interviews. Contractor and agency will agree to additional hours to account for the entirety of the case, but not to exceed 5pm. Additional days or times may be scheduled as needed in relation to specific case and agency needs.
Location for Rendering Services
Contractor shall perform forensic interviews onsite at SPCAC at 2335 Robinson St., Colorado Springs, CO 80904.
Court preparation may be done off site, at SPCAC or the appropriate DA’s office.
Term of Agreement
As of the day and year first above written and continue through ______, 2026.
Ongoing Training and Peer Review
Contractor agrees to follow SPCAC policy for ongoing continuing education consisting of a minimum of eight hours every two years AND regular participation in formalized peer review for Forensic Interviewers.
SPCAC shall pay contractor at the same rate for in person participation in peer review as is compensated for forensic interview services. National Peer Review may be attended virtually for the same compensation rate.
Time spent on training will not be reimbursed. However, other costs accrued including per diem, mileage and hotel may be covered by SPCAC as pre-approved by the Executive Director.
Compensation for Services
Contractor shall be responsible for reporting and payment of all federal and state income and self-employment tax for amounts received by him or her pursuant to this Agreement.
Compensation, as agreed, will be $50.00 per hour of service, payable within thirty (30) days of receiving invoice from Contractor. A “no show” will be compensated at 1-hour minimum if the appointment occurs outside of the previously agreed upon workday in office.
Contractor shall be responsible for receiving advanced approval from the Executive Director for any additional hours of service required to complete said deliverables.
Contractor is not to be reimbursed for project related business costs, including but not limited to, supplies, equipment, professional support services, etc.
