Key Responsibilities

Contract Review and Negotiations:

• Review, draft, and manage customer and vendor contracts, including SaaS agreements, licensing agreements, NDAs, and other commercial contracts.
• Work closely with internal stakeholders (e.g., Sales, Product, and Finance teams) to negotiate favorable contract terms while ensuring compliance with company policies and legal standards.
• Assist in the preparation and negotiation of partnership and vendor agreements, ensuring clarity on terms, deliverables, and compliance obligations.
  
  

Compliance And Regulatory Oversight

• Ensure SalesAi.com’s adherence to all relevant local, state, and federal regulations, including those specific to the AI, SaaS, and telecommunications industries (e.g., compliance with GDPR, CCPA, TCPA, and other privacy laws).
• Support the company's compliance with SMS and telemarketing regulations, including opt-in/opt-out requirements and record-keeping obligations.
• Monitor and advise on new and evolving laws and regulations related to artificial intelligence, data privacy, and customer communication.
• Assist with maintaining and updating internal compliance documentation, including policies related to AI ethics, data privacy, and telecommunications.
  
  

Acquisitions And Corporate Structure

• Assist in due diligence efforts for potential acquisitions, including researching and evaluating target companies' legal, financial, and regulatory status.
• Support the drafting and negotiation of acquisition-related documents, including asset purchase agreements, shareholder agreements, and other corporate transaction documents.
• Assist in corporate structuring, reorganizations, and maintaining corporate records and documentation related to mergers, acquisitions, or spin-offs.
• Collaborate with legal, finance, and operations teams to ensure smooth execution of acquisition transactions, including preparing board resolutions, legal filings, and compliance documentation.
• Work with external legal counsel to facilitate the closing of acquisitions and other corporate transactions, ensuring regulatory compliance and risk mitigation.
  
  

Legal Documentation And Corporate Governance

• Draft, review, and maintain internal legal documents, including Terms of Service, Privacy Policy, Terms and Conditions, and internal policies on AI use and ethics.
• Work with the executive team to ensure corporate governance processes are followed, including preparing resolutions, filings, and other documentation as needed.
  
  

Ethics And Risk Management

• Support the development and review of AI ethical guidelines and assist in managing risks related to the ethical use of AI, ensuring compliance with internal policies and external regulations.
• Participate in cross-functional teams to identify and mitigate legal risks related to product development, marketing, and customer service.
  
  

General Legal Support

• Provide general legal support to the executive team and company departments, including researching legal issues, preparing reports, and ensuring compliance with company policies.
• Assist in responding to legal inquiries, disputes, and audits.
• Manage and maintain organized legal files and databases.
  
  

Qualifications

Required:

• Education: Law degree or equivalent legal training from an accredited institution. A Bachelor’s degree in a related field is preferred.
• Experience: 4 years of experience as a corporate lawer, with a focus on contracts, compliance, and corporate law within a SaaS, technology, or AI-focused organization.
• Experience with Acquisitions: Previous experience supporting corporate transactions, mergers, and acquisitions, including conducting due diligence, preparing transaction documents, and assisting in corporate structuring.
• Knowledge of Regulations: Familiarity with AI ethics, SaaS agreements, data privacy laws (e.g., GDPR, CCPA), telecommunications compliance (e.g., TCPA, CTIA), and other regulatory frameworks.
• Skills:
• Strong contract drafting and negotiation skills.
• Excellent research, writing, and communication skills.
• Ability to analyze complex legal issues and provide practical solutions.
• Proficient in Microsoft Office Suite, document management systems, and contract management tools.
  

Preferred

• Experience in Tech/AI: Previous experience in the AI or machine learning industry, particularly with respect to privacy, data protection, and AI ethics.
• Experience with Acquisitions: Experience in supporting corporate transactions, including mergers, acquisitions, and restructuring, in a SaaS or technology environment.
