In cooperation with the Deputy General Counsel, you are primarily responsible for the company’s commercial contract initiatives and providing other key legal support to the Deputy General Counsel and the General Counsel, as needed. You are primarily responsible for structuring, negotiating, analyzing and drafting contracts and agreements in a wide variety of areas, including supply chain, engineering, operations, information technology, licensing, marketing services, and other customer and vendor engagements. With the guidance of the Deputy General Counsel of the Associate General Counsel you will work directly with both internal partners and outside commercial stakeholders to structure, revise, and negotiate company contracts while monitoring compliance with applicable laws/regulations, internal commercial standards, other contract provisions, and the strategic business interests of the company.

What You Do.
Works across functions and provides contract consultation and transaction-related answers to customers, business units and project teams regarding strategic partnerships, CAR purchases, new product development, liability/indemnification, and other strategic concepts. Understands and anticipates departmental needs and corporate matters; delivers high quality service and results. Leads, initiates, or participates in discussions to address and resolve contract issues.
Acts as a liaison between the legal team and the business units for effective communication, contractual risk analysis and issue resolution. Assures consistent understanding and interpretation of applicable laws by contracts team and business units.
Assists the Deputy General Counsel and Risk Manager with the creation of complex contract provisions and standards and by conducting legal research, interpreting legal information, and implementing corresponding changes to internal processes as well as assistance in maturing the contracts function overall.
Provides key support for all corporate governance activities and provides strategic legal counsel regarding the same. Assists with litigation management activities.
Has a strong understanding of the company's products and business strategies and keeps abreast of legal developments that may affect the company. Performs special projects as assigned from time to time by the General Counsel or other members of the company's management.
Other Functions: Establishes effective working relationships with all Sargento stakeholders. Has a strong understanding of the company's products and business strategies. Uses extensive knowledge and application of legal fundamentals and key contract strategies to, under the oversight of the Deputy General Counsel and Risk Manager, ensure that all functions are informed as needed.
Provides strategic and authoritative guidance to internal business teams on all contract matters.
Communicates effectively and professionally with all levels of staff and management and facilitates the resolution of their legal and contract concerns. Understands and anticipates departmental needs and corporate matters; delivers high quality service and results ensuring timely follow up on pertinent legal matters.
Remains current on all policies, procedures, and strategic plans of Sargento Foods Inc. as they relate to the area(s) supported by the corporate legal department.
Your Education and Experience. Juris Doctorate from an ABA accredited law school. Minimum of 7-10 years’ experience working in c a corporate legal department practicing corporate law as in-house counsel and/or in private practice. License to practice law in at least one U.S. jurisdiction. If the candidate is not licensed to practice in Wisconsin, then promptly after being hired, he or she must become a member of the Wisconsin bar through reciprocity, or by passing the Wisconsin bar exam
Your Qualifications. Substantial experience working with legal and commercial contract language, including the analysis, interpretation and effective communication of the same. Ability to understand, interpret and explain complex legal terms and laws, and to apply legal principles to the business and drive consensus and resolution in an efficient manner. Broad commercial awareness, including developing a thorough understanding of the Company's business, representatives, end consumers, markets, facilities, and competitors to identify trends and formulate appropriate advice, structures and strategies. Highly motivated, efficient, and organized; able to juggle multiple projects at a time in a fast-paced environment, both collaborating as a team and working independently to get the job done.
