Position Title : Hospitality Industry Attorney - Development & Acquisitions

Location : Miami, Florida

Overview

Our client is seeking an experienced attorney with a strong background in development, acquisitions, and hospitality law. This role requires a proactive legal strategist who can handle high-stakes transactions, manage risk, and provide guidance in regulatory compliance within the hospitality sector. The ideal candidate will have significant experience in contract negotiation, litigation, and corporate governance, along with a deep understanding of legal issues unique to the hotel industry.

Required Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school
  • Licensed to practice law in Florida (a must)
  • 3 years of legal experience within the hospitality industry, specifically in development and acquisitions
  • Strong crisis management, problem-solving, and stakeholder management skills
  • Proven experience in hospitality and real estate law, with a focus on hotel acquisitions, sales, commercial agreements, and franchise law
  • In-depth knowledge of corporate law, hospitality law, labor law, intellectual property, data protection, and evolving industry regulations
  • Exceptional analytical, communication, and organizational skills with a business-oriented mindset

Key Responsibilities

  • Legal Advisory & Strategy : Provide comprehensive legal counsel to leadership and stakeholders, focusing on corporate legal matters in the hospitality industry, including hotel PSAs, contracts, regulatory compliance, and risk management.
  • Transaction Management : Oversee all legal aspects of hotel acquisitions and sales, including negotiations and contract reviews, ensuring efficient deal closures.
  • Contract Drafting & Negotiation : Draft, review, and negotiate various contracts (e.g., commercial, vendor, franchise agreements) ensuring regulatory compliance at all levels.
  • Corporate Governance & Compliance : Establish internal governance policies and ensure compliance with legal standards and best practices.
  • Litigation & Dispute Resolution : Proactively manage litigation and dispute resolution, including arbitration, while collaborating with external counsel when necessary.
  • Regulatory & Government Liaison : Serve as the main legal point of contact with government and regulatory bodies, ensuring adherence to hospitality regulations and industry-specific legal standards.
  • Risk Management : Identify legal risks in business transactions and develop strategies to minimize potential threats.
  • Mergers & Acquisitions (M&A) : Support M&A activities and hotel developments, overseeing due diligence and ensuring alignment with corporate goals.
  • Intellectual Property & Trademarks : Safeguard the company's intellectual property, including trademarks, patents, and brand assets.
  • Employment Law & HR Support : Advise on labor law matters, including contracts and disputes, ensuring compliance with employment regulations.
  • Sustainability & Environmental Compliance : Ensure adherence to environmental regulations and sustainability practices critical to the hospitality industry.
  • Training & Development : Provide training to staff on contract law, risk management, compliance, and corporate governance.
