Position Summary:
The General Counsel will serve as the chief legal advisor, overseeing all legal matters, ensuring compliance with corporate regulations, and mitigating legal risks. This role requires at least 10 years of experience in corporate law with a strong background in litigation, mergers and acquisitions (M&A), contract review and modifications, and overall corporate governance.
Key Responsibilities:
- Provide strategic legal counsel to senior leadership on corporate matters, risk management, and business transactions.
- Oversee and manage litigation, arbitration, and dispute resolution, working with external legal teams when necessary.
- Lead mergers, acquisitions, and corporate restructuring, ensuring legal due diligence and compliance.
- Review, draft, and negotiate contracts, agreements, and legal documents, including vendor, customer, and employment contracts.
- Stay informed on corporate law changes and regulatory updates, ensuring the company remains compliant with all applicable laws.
- Develop and implement internal legal policies and procedures to mitigate risks.
- Work closely with various departments to ensure business decisions align with legal best practices.
- Represent the company in legal proceedings, regulatory inquiries, and negotiations as needed.
- Provide legal guidance on intellectual property, employment law, and corporate finance matters.
Qualifications & Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in NJ, (as well as NY a plus)
- Minimum of 10 years of legal experience in corporate law, with a strong emphasis on litigation, M&A, and contract law.
- Proven experience in handling complex corporate transactions and disputes.
- Strong negotiation, analytical, and problem-solving skills with a strategic mindset.
- Excellent communication and leadership abilities, capable of working with executives and external legal teams.
- Experience in regulatory compliance, risk management, and corporate governance.
- Ability to work on-site, Monday through Friday in a fast-paced corporate environment.
Requirements
Preferred Qualifications:
- Experience in [industry-related legal matters, e.g., finance, healthcare, technology, etc.].
- Prior experience as General Counsel, Deputy General Counsel, or Senior Corporate Attorney in a corporate setting.
- Familiarity with securities law, antitrust, and employment law is a plus.
