Job Title: Junior Corporate Attorney – Restaurant & Real Estate Industry
Location: Dallas, TX
Salary: Up to $110,000
We are seeking a motivated and detail-oriented Junior Corporate Attorney to join our corporate legal team in Dallas, TX, supporting the dynamic legal needs of an organization specializing in the restaurant and real estate industries. Reporting to the Corporate Counsel, this role involves providing legal guidance on corporate governance, transactions, compliance, board matters, real estate, and general legal affairs.
Key Responsibilities:
- Prepare and manage Board of Directors and Committee materials, ensuring compliance with corporate governance requirements.
- Conduct due diligence, regulatory filings, and corporate entity management.
- Draft, review, and negotiate a variety of contracts, including vendor agreements, leases, partnership agreements, and employment contracts.
- Support real estate transactions, including lease negotiations, property acquisitions, and development agreements.
- Assist in litigation management, including working with outside counsel on disputes, risk mitigation, and contract enforcement.
- Collaborate with HR and finance teams on equity compensation plans and Section 16 reporting requirements.
- Conduct legal research and provide cross-functional legal support to internal teams.
- Contribute to policy development, process improvement, and industry-related legal communications.
Qualifications:
- Juris Doctorate (JD) degree from an ABA-accredited law school.
- Active membership in good standing with the State Bar of Texas (or eligibility for in-house counsel registration in Texas).
- 3–5 years of corporate legal experience (law firm or in-house counsel), with experience in real estate and general corporate law.
- Strong experience in corporate governance, contract drafting and negotiation, and compliance; familiarity with equity plan administration and Section 16 reporting is a plus.
- Litigation management experience, including working with outside counsel.
- Exceptional legal research, analytical, drafting, and negotiation skills.
- Ability to work effectively in a fast-paced, high-growth environment with strong organizational skills and attention to detail.
- Self-motivated team player with a solution-oriented approach to problem-solving.
