We are seeking candidates for the position of Special Counsel-Corporate (0026) in the Legal - Corporate & Business Operations. Opening Date : 02 / 24 / 2025 Closing Date : 03 / 10 / 2025 Job Grade : SAM 43 Salary Range : Min : $121,498.00 - Mid : $151,866.00 OVERALL DESCRIPTION Corporate (Procurement Contracts) Responsible for legal oversight of matters involving SEPTA’s Procurement and Supply Chain Management DBE Division, Human Resources Division (contracts and RFPs / Bids), the Customized Community Transportation Department and Capital Budget and Grant Development (funding and reimbursement agreements). Serves as lead attorney for Information Technology Department’s software license and maintenance agreements, Communications and Signals Department telecommunications contracts, and Real Estate Department’s leases. Also approves as to form contracts attached to Staff Summaries on behalf of the General Counsel. Commerce and Regulatory Compliance Responsible for commerce and regulatory compliance matters within the Corporate department of the Office of the General Counsel. Substantive legal work performed by the Department will involve handling of matters in areas such as real estate, capital project support, land use, railroad contracts, regulation and compliance, insurance / risk assessment, procurement support, and oversight of corporate litigation by outside counsel. SPECIFIC RESPONSIBILITIES Corporate (Procurement Contracts) Manages Procurement and Supply Chain Management Division legal matters related to negotiating and drafting SEPTA agreements pertaining to procurements, including responding to bidder / proposer requests for changes to contracts in accordance with SEPTA’s procurement procedure. Advises SEPTA on resolving contract disputes, submittal of cure letters, bid protests, review issues related to liquidated damages, letters of credit and performance bonds. Provides oversight of legal matters for the Capital Budget and Grant Development Department related to the review / preparation of funding and reimbursement agreements pertaining to programs funded by the Commonwealth of Pennsylvania and Federal Transit Administration. Serves as lead attorney for Information Technology Department, in accordance with negotiating, preparing, and reviewing software license agreements and software maintenance agreements. Provides legal representation to the Real Estate Department for major leases. Serves as lead attorney to the Human Resources Division on a wide variety of contract matters and bids / RFPs, including response to questions from SEPTA bidders / proposers related to contracts in accordance with the SEPTA procurement procedure and submittal of cure letters and resolution of contract disputes. Serves as the lead attorney for telecommunications contracts and site use agreements for the Communications and Signals Department. Serves as the lead attorney for the Customized Community Transportation Department reviewing and drafting contracts and advising on procurement matters. Approves as to form all contracts attached to Staff Summaries on behalf of the General Counsel. Complies with all Authority and departmental safety and security policies and procedures as well as all applicable job safety responsibilities. Reports any safety concerns, compromises or hazards affecting operations, the public, self and / or other employees. Responsible for personal safety and is encouraged to promote the safety of others. Performs other assignment as directed. ADDL / DISCIPLINE RESPONSIBILITIES Commerce and Regulatory Compliance Manages Corporate matters via negotiating and drafting agreements regarding real estate transactions, railroad and other transportation agency relationships, environmental activities, and capital project support. Performs legal work necessary to support the safety department in understanding and complying with current law and in performing corrective or compliance activities as necessary; and to represent SEPTA in responding to regulatory agencies’ actions or communications. Provides legal advice and guidance to SEPTA management and risk management department on risk assessment efforts, insurance or other risk management tools and their applicability, and controlling risk exposure under the day-to-day operations and activities of SEPTA. Provides Corporate legal advice and opinions for SEPTA management on issues falling into the areas for which the position is responsible or has expertise. Supervises the daily work of subordinate attorneys in Corporate matters. Supervises outside counsel on cases as assigned by the General Counsel. Makes recommendations to the General Counsel as to which cases should be handled by outside counsel. Performs other assignments as directed. QUALIFICATIONS AND EXPERIENCE Corporate (Procurement Contracts) Juris Doctorate Degree from an accredited law school in the United States and at least eight (8) years of experience as a full-time practicing attorney required, which includes legal experience pertaining to transactional, commercial, corporate law, compliance and / or regulatory matters required. Admission to practice law before the Supreme Court of Pennsylvania. Must possess a high degree of competence, professionalism, good Judgment and leadership skills. Experience using personal computers and Microsoft Office application software is required. Work in areas such as transportation, railroad, real estate, environmental, construction, procurement, insurance or any combinations thereof, is preferred. Proven supervisory / leadership experience preferred.
