I. Job Summary:

The VP will also manage investor relations, including communication with analysts, investors, and stakeholders, and ensure that the company’s financial performance and strategy are effectively communicated.
II. Duties and Responsibilities:
- Manage the long-term financial model and assist the Chief Financial Officer in managing the capital structure for the Company.
- Monitor capital structure and compliance with debt and equity arrangements.
- Identify financing needs and sources of capital to fund.
- Collaborate with executives in development and updating capital structure plan to maximize liquidity and flexibility and minimize cost of capital.
- Develop lender and rating agency presentations and models.
- Project manage lead banks, outside counsel, lenders in executing financing documents.
- Lead the investor relations function for the Company.
- Collaborate with executives in developing quarterly messaging of financial and operational results.
- Identify and market to potential shareholders who invest in similar businesses.
- Monitor sell-side research models and analysts’ consensus projections.
- Expand sell-side research coverage; arrange and participate in investor conferences and events.
- Interact with investment banks and brokers to identify merger and acquisition opportunities that align with the Company’s strategy.
- Collaborate with executives on high level analysis to determine opportunities to invest management time and resources to pursue.
- Lead financial modeling of target and combine with the Company’s long-term financial model to determine if the transaction creates value for the Company’s shareholders.
- Lead financial due diligence and coordinate with functional leaders for operational diligence.
- Identify synergies and cost to achieve synergies.
- Develop financing plan.
- Participate in review of transaction documents.
- Partner with functional leaders to understand and share current operational trends to incorporate in the long-term model and improve the profitability of the Company.
- Demonstrate and hold employees accountable for stewardship of the Company’s positive people philosophy and the mantra of Winning Together.
- Education: Bachelor’s degree in finance or related discipline or MBA required.
- Experience Level: 10 years of corporate finance, investment banking and/or preferred equity experience with telecommunication companies. Experience with publicly traded telecommunication companies a plus.
- Expert-level knowledge of debt and equity capital markets, developing offering memorandums and investor relations presentations, managing mergers and acquisitions processes, performing valuation analysis, due diligence, financial modeling, and transaction document review. Ability to “cut through the noise” and clearly and concisely “tell the story of financial and operating results and projections.
- 5 years of direct leadership experience with strong coaching and development skills.
- Advanced understanding of telecommunications businesses, technology, key metrics and drivers of financial performance.
- Ability to allocate and balance team and business resources to achieve optimal business results.
- Excellent analytical ability, attention to detail, and ability to work independently and in teams.
- Exceptional communication skills, including verbal, written and interpersonal skills required. Able to effectively articulate the Company’s position to senior management, board of directors, current and potential shareholders and lenders, sell-side equity analysts, rating agencies, and potential acquisition or divestiture targets.
- Demonstrated ability to build presentations appropriate for senior management, board of directors, current and potential shareholders and lenders, sell-side equity analysts, rating agencies, potential acquisition or divestiture targets and present a compelling story.
- Strong ability to collaborate across organizational boundaries and lead the advancement of the Company’s strategies and growth plans.
- Proven track record of being able to build constructive and effective relationships both internal and externally, using diplomacy and tact, based on mutual trust and respect.
- Excellent analytical, project management, planning and organizational skills.
- Strong knowledge/aptitude of MS products (particularly Excel, PowerPoint) and investor relations tools.
- Position is primarily Remote within Shentel's distributed workforce area – VA, WV, MD, PA, DE, KY, OH. The Company is headquartered in Edinburg, VA
- In addition to base compensation, the position is eligible for Short-Term and Long-Term Equity consideration.
