We are seeking a Corporate Counsel to join our Legal & Compliance team. This is a dynamic role focused on corporate secretarial / governance, securities matters, and supporting our mergers and acquisitions (M&A) growth strategy. You’ll work closely with senior leaders, providing strategic legal advice on a wide range of topics while driving key business initiatives.Key Responsibilities Serve as a key legal advisor on corporate secretarial, governance, and securities matters.Provide legal support for M&A and joint ventures, including due diligence, deal structuring, and agreement negotiation.Support the Board of Directors and committees, assisting with governance and administration.Draft, negotiate, and interpret contracts, including technology and licensing agreements.Collaborate with internal teams to address corporate, commercial, real estate, and compliance matters.Offer strategic legal advice to senior business leaders, proactively identifying risks and opportunities.Manage and develop direct reports, fostering a positive and collaborative work environment.Coordinate with external counsel on filings, research, and projects as needed.What You’ll Bring Education : Juris Doctor (JD) from an accredited institution and membership in at least one state bar or equivalent.Experience : 7 years in corporate and finance law, with at least 3 years of international exposure.Strong background in M&A, securities, corporate governance, and SaaS licensing / technology agreements.Experience advising senior leadership and working in multinational corporations or global law firms.Skills : Exceptional problem-solving and analytical abilities.Strong written and verbal communication skills.Business-minded approach with sound judgment and ability to manage ambiguity.Why Join Us?
