The ideal candidate will have a minimum of 8 years of experience managing commercial contracts in the EDA or semiconductor industries, with expertise in drafting and negotiating software license agreements and intellectual property (IP) license agreements.Initially, this role will be as an individual contributor, but the candidate will also be expected to manage and provide oversight to other attorneys as the commercial legal function grows. This position requires the ability to work independently while supporting a global sales function and aligning legal strategies with business objectives.ESSENTIAL JOB FUNCTIONS AND RESPONSIBILITIES; include but not limited to : Drafting, Negotiating, and Reviewing ContractsStructure, draft, and negotiate a wide range of agreements, including software license agreements, IP license agreements, SaaS agreements, professional services agreements, NDAs, reseller and distributor agreements, and partnership agreements.Legal Support for Global SalesProvide legal advice and support to the global sales team on deal structuring, compliance, and risk mitigation.Act as a trusted advisor, ensuring deals align with business objectives while managing legal and regulatory risks.Compliance and Risk ManagementEnsure compliance with relevant laws and regulations, including intellectual property laws, data protection, export controls, and antitrust laws.Develop and maintain templates, playbooks, and contract management systems to streamline operations.Cross-functional CollaborationCollaborate with internal stakeholders, including finance, operations, business, and sales teams, to ensure alignment on contract terms and company policies.Provide legal training and guidance to non-legal teams on relevant legal topics and contract best practices.Dispute Resolution and AdvisoryAssist in resolving contractual disputes and advising on risk exposure.Provide strategic legal insights to support decision-making and business growth.QUALIFICATIONS AND REQUIRED EXPERIENCEBachelor’s degree in law (LLB) or equivalent from an accredited university in India.
