POSITION OVERVIEW :

This role will focus on providing strategic legal counsel across corporate law, commercial transactions, and estate planning. The ideal candidate will have substantial experience advising clients on matters such as business entity formation, mergers and acquisitions, complex business transactions, and estate planning. Candidates must demonstrate a commitment to professionalism, impeccable attention to detail, and the ability to manage multiple responsibilities independently and within a collaborative team environment.

QUALIFICATIONS :

  • Juris Doctor (JD) from an ABA-accredited law school.
  • Active admission to the Nebraska Bar in good standing.
  • 4 years of experience practicing corporate law with a focus on business transactions and commercial agreements or estate planning.
  • Proven experience drafting and negotiating complex transactional documents, with exceptional attention to detail and precision.
  • Strong written and verbal communication skills, with the ability to convey legal concepts clearly and effectively.
  • Outstanding analytical and organizational skills, demonstrating a capacity to manage sophisticated legal issues efficiently.
  • Excellent time management and multitasking skills, capable of meeting deadlines in a high-paced environment.
  • A client-first mindset, with a focus on delivering tailored legal solutions that align with client needs and objectives.
  • Demonstrated ability to collaborate effectively within a professional team environment while working independently on various projects.

DUTIES :

This position offers the opportunity to deliver high-level legal counsel to a diverse range of clients and industries on an array of corporate and transactional matters. Responsibilities include but are not limited to :

  • Providing legal counsel on business law matters, including entity formation, corporate governance, regulatory compliance, and risk management.
  • Structuring, negotiating, drafting, and reviewing a broad range of business agreements, including asset purchase agreements, stock purchase agreements, joint ventures, and other commercial contracts.
  • Advising clients on mergers and acquisitions, corporate reorganizations, and other strategic transactions, ensuring legal compliance and alignment with business goals.
  • Conducting in-depth legal research and analysis on corporate and regulatory issues, staying current on relevant legal developments and best practices.
  • Managing multiple, simultaneous projects with a commitment to maintaining high-quality work product and delivering results efficiently.
  • Collaborating with colleagues, paralegals, and administrative staff to ensure seamless delivery of legal services while fostering a collegial and professional workplace culture.
  • Providing comprehensive estate planning services, including drafting wills, trusts, and powers of attorney, and advising clients on tax-efficient strategies for wealth preservation and business succession planning.
