Responsibilities
Lead attorney responsible for coverage of Equities and Equity Derivatives (EQD) business in the Americas, reporting to the Head of Global Markets Legal within the SGUS Legal Department. Attorney will : manage the EQD coverage legal team; provide primary legal support in connection with all activities, transactions, and regulatory matters relating to the EQD businesses in the Americas; provide legal and transactional advice for a broad range of equities, equity finance, derivatives and other transactions linked to equities and equity indices; advise and support relevant business lines in new product development and approval process; coordinate and supervise work of external counsel where necessary to obtain appropriate legal advice and / or opinions with a view to minimizing external legal costs; and represent the Legal Department in connection with various committees and special projects as required, working with multiple stakeholders within the firm (risk, tax, accounting, compliance, etc.) as well as with the primary business personnel.
Required / Must have :
- At least 8 years of broad-based professional U.S. legal experience, with specialization in equities trading, financing and equity derivatives transactions and documentation.
- Strong understanding of U.S. securities laws, including the Securities Act, the Exchange Act, FINRA and CFTC rules and regulations, broker-dealer and margin regulations, and Dodd-Frank Title VII provisions as applied to swaps regulated by the CFTC and SEC.
- Strong familiarity with relevant ISDA documentation including, Master Agreement, CSA, and Equity Definitions.
- Experience with synthetic prime brokerage arrangements and corporate equity derivatives transactions, including margin loans.
