The Opportunity
We are currently seeking candidates with 10 years of experience as a Corporate and Transactional Paralegal to join our global Legal and Compliance team. This position requires a minimum of 3 days in the New York Office. While most of the work will be conducted within the Eastern Time Zone, the expectation is to provide support to other regions as needed.
Position Details: In this role, you will work directly with the Chief Legal & Compliance Officer on a variety of projects including contract review, drafting and negotiation, corporate formalities and governance matters, and legal and compliance policy development and implementation.
Additional duties include:
- Preparing, negotiating, and tracking commercial contracts including client agreements, NDAs, and vendor agreements
- Gathering, reviewing and summarizing information and agreements, preparing schedules to agreements and responding to inquiries
- Building and maintaining procedures for contractual and regulatory compliance
- Maintaining books and records for the Company and its domestic and foreign subsidiaries
- Interacting and partnering with internal business stakeholders throughout a transaction
- Assisting with the administration of compliance programs
- Developing and maintaining precedents for standard corporate commercial documentation
- Playing a central role in the improvement of business processes.
Qualifications and Experience
- Ten years of experience as a paralegal supporting complex corporate/commercial transactions such as financing and M&A transactions and handling corporate matters in a hands-on, fast-paced, in-house environment
- Specific experience in contracts, privacy, compliance, and corporate governance very helpful
- Experience reviewing and drafting legal documents of some complexity
- Ability to communicate and collaborate effectively with executive leaders and team members at all levels, both remotely and in-person; internally client-focused with the ability to manage expectations and influence/challenge as appropriate
- Ability to maintain confidentiality, and exercise discretion and good judgment
- Strong attention to detail with excellent planning, time management, and organizational skills
- Bachelor’s degree from an accredited college; paralegal certificate a plus; privacy experience a plus
- Proficiency in Word, Excel and PowerPoint
- Experience with a document management system and/or Salesforce is a plus
Compensation: Salary range $100k - $135k, commensurate with experience and skill, plus an annual discretionary performance-based bonus.
