Are you an experienced attorney with a strong background in fund formation and private investment structures? Sokol Associates is seeking a highly skilled Fund Formation Attorney to work for one of our clients that is a prominent asset management company in New York City. Hybrid work arrangement.
Responsibilities:
- Advise clients on the formation and structuring of private investment funds, including private equity and venture capital funds.
- Draft and negotiate fund formation documents such as limited partnership agreements, private placement memoranda, subscription agreements, and management agreements.
- Assist with regulatory compliance matters related to the formation and operation of funds, including SEC regulations and other legal frameworks.
- Collaborate with internal teams, including tax advisors, financial analysts, and compliance officers, to ensure smooth and efficient fund formation processes.
- Provide ongoing legal support to fund managers and investors throughout the lifecycle of the fund.
- Stay current on legal and regulatory developments affecting the fund industry and advise clients accordingly.
Qualifications:
- J.D. from an accredited law school.
- Admission to New York Bar
- At 3 to 10 years of experience in fund formation, private equity, venture capital, or related areas.
- Strong knowledge of investment structures, SEC regulations, and corporate governance.
- Excellent communication, drafting, and negotiation skills.
- Ability to work effectively in a fast-paced, team-oriented environment
