Overview :
The Director of Legal works closely with various departments to align legal strategies with business objectives. This role involves advising the executive team, ensuring compliance with laws and regulations, mitigating legal risks, protecting the companys intellectual property rights and monitoring the legal aspects of mergers and acquisitions (M&A) activities.
Responsibilities :
Draft, review, and negotiate contracts, agreements, and other legal documents to ensure they protect the organizations interests while maintaining a practical and balanced approach that allows the business to operate effectively.
Ensure that all contracts protect the organization's interests and comply with legal requirements.Maintain a contract management system for tracking and managing contractual obligations.Intellectual Property ManagementOversee the management of trademarks, patents, and copyrights, including filing, monitoring, and renewals.
Ensure the protection of the company's intellectual property rights.Select and manage external law firms for filing patents and other intellectual property matters.Act as the point of contact for maintaining the companys intellectual property list, tracking expiration dates, and ensuring timely renewals and filings.Manage legal issues related to intellectual property, including infringement cases and licensing agreements.Litigation and Dispute Resolution ManagementManage and oversee all litigation, arbitration, and dispute resolution matters, in conjunction with 3rd party counsel.
Work with external legal counsel as needed and manage legal budgets.Develop strategies for dispute resolution and litigation avoidance.Legal AdministrationConduct legal research to support the organizations decision-making process.
Prepare and maintain legal documents, correspondence, and reports.Ensure all legal documentation is properly organized and filed.Ensure robust corporate governance practices are in place.Prepare and review corporate policies and procedures.Maintain and update company legal document templates, such as Non-Disclosure Agreements (NDAs) and M&A-specific NDAs.Maintain corporate and board records.Compliance and Risk ManagementOversee and manage compliance programs, including anti-bribery, anti-corruption, and data protection.
Identify potential legal risks and develop strategies to mitigate these risks.Conduct internal audits and investigations as necessary.Mergers and Acquisitions (M&A)Review M&A transaction and legal diligence documents, including purchase agreements, disclosure schedules, and other related documents.
Oversee post-transaction integration from a legal perspective.Legal Advice and SupportProvide expert legal advice to various departments within the organization on a wide range of issues, including employment law, intellectual property, commercial transactions, and regulatory compliance.
Stay updated on relevant legal developments and advise the organization on potential impacts.HR ComplianceCollaborate closely with the HR Director of Compliance to ensure consistency and alignment in compliance efforts.
Provide legal guidance on employment law matters, including labor relations, employee contracts, workplace policies, and dispute resolution.Qualifications :
Juris Doctor (JD) degree from an accredited law school.Must be a licensed attorney in good standing.A minimum of 7 years of legal experience, including significant experience in a corporate legal department or law firm.Strong leadership and management skills.Excellent analytical, negotiation, and problem-solving abilities.Ability to work effectively with a wide range of internal and external stakeholders.High ethical standards and integrity.Strong negotiation and problem-solving abilities.Experience working with clients in the Manufacturing / Service industry relevant to the organizationBackground in corporate governance and compliance preferred.Experience in M&A transactions is a plus.
