This role provides legal guidance on mergers and acquisitions, oversees governance compliance, and supports commercial agreements.Responsibilities Mergers & Acquisitions (60%) Lead and negotiate transaction agreements, conduct legal due diligence, and mitigate risks.Drive legal integration for acquired businesses.Support corporate restructuring and consolidation.Corporate Governance (10%) Ensure compliance and governance for legal entities in the Americas.Commercial Transactions (30%) Advise business units on third-party agreements and legal compliance.Draft and negotiate contracts; oversee outside counsel in Canada and Latin America.Experience J.D. from an accredited law school; admitted to at least one State Bar.7 years in commercial transactions and M&A.Experience in corporate restructuring and governance.Healthcare industry or regulatory exposure preferred.2 years of in-house corporate experience.Skills & Competencies Strong ethics, communication, and problem-solving abilities.Expertise in contract law, corporate governance, and compliance.Proficiency in Microsoft Office; Spanish is a plus.Travel : Up to 5%Compensation : $117,600 - $130,000Don't meet all the criteria?
