THE ROLE: Corporate Paralegal
Spruce is headquartered in Denver, CO, with a presence in Houston, TX and the Bay Area, CA. This role is envisioned to be located in Houston, TX.
Spruce is seeking a proactive and detail-oriented Corporate Paralegal to join our legal team. The ideal candidate is a team player with a strong attention to detail and a growth mindset, capable of managing competing priorities effectively in a fast-paced and dynamic environment.
Key Responsibilities Include:
- Support the legal team with corporate governance matters, including maintaining corporate records, and managing entity filings and annual compliance requirements with state agencies.
- Assist with drafting, reviewing, and organizing contracts, including non-disclosure agreements, vendor agreements, and service contracts.
- Conduct research on legal and regulatory issues, including renewable energy policies and licensing requirements.
- Maintain a legal ticketing system and ensure timely responses to internal requests.
- Assist with litigation matters, including responding to demand letters, managing document requests, and coordinating with outside counsel.
- Manage attorney calendars, schedule meetings, and coordinate conference calls and video conferences.
- Provide administrative support and assistance to other departments.
QUALIFICATIONS
- 3 years of experience as a corporate paralegal with a major law firm or in-house legal department. Experience in the renewable energy, or utility industries is a major plus.
- Strong organizational skills and attention to detail.
- Professional individual with the ability to communicate with senior executives
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
- Proficiency with legal research tools and software such as Westlaw and Pacer; experience with Zendesk is a plus.
- Familiarity with corporate governance best practices.
- Proficiency with Microsoft Office programs and Adobe PDF.
- Proficiency with CLIO.
EDUCATION
Bachelor's degree and/or paralegal certification from an ABA-approved program.
