Position Overview : The Senior Corporate Paralegal will oversee U.S. entity management, regulatory filings, board meeting administration, and corporate governance support while collaborating with internal teams and external regulators. Key Responsibilities : Manage U.S. entity registrations, licenses, and annual reports. Prepare insurance regulatory filings and liaise with state regulators. Support financial reporting, independent auditors, and corporate governance initiatives. Assist with M&A transactions, including NDAs, document preparation, and post-merger integration. Coordinate U.S. Board of Directors meetings, including agenda preparation, resolutions, and minutes. Maintain corporate records and implement governance best practices. Provide support to investment management counsel and transactional matters. Qualifications : Bachelor’s Degree with 5-10 years of corporate legal experience. Insurance / financial services industry experience preferred. Strong knowledge of corporate governance and board administration (Diligent BoardBooks experience a plus). Familiarity with relevant regulations and ability to conduct legal research. Highly organized, detail-oriented, and proactive in project management.
