Position Summary
Under the direction of the General Counsel, the Assistant General Counsel will serve as a key legal advisor to internal stakeholders, handling a broad range of commercial transactions and corporate matters. The ideal candidate will have at least five years of experience in commercial transactions at a large corporate law firm and demonstrate the ability to provide high-quality, responsive legal support to business teams. In addition to contract negotiation and risk assessment, the ideal candidate should have a working knowledge of intellectual property, employment law, and corporate governance matters.
Key Responsibilities
General
- Ensure maximum protection of the Company’s legal rights, utilizing broad familiarity with most major legal disciplines
- Ensure maximum protection of the Company’s assets, rights and obligations, utilizing broad familiarity with most major risk disciplines and through efficient and effective coordination with insurance brokers
- Develop knowledge of laws and regulations affecting the Company’s operations
- Provide input and assistance in the development and/or enforcement of Company policies and/or procedures as requested
Contracts
- Prepare and review contracts and transactional documents including but not limited to those pertaining to the following:
- Leases
- Purchases
- Commercial Contracts
- Real Estate
- Employment (when applicable)
- License Agreements
- Confidentiality agreements
- Supplier agreements
Litigation
- As requested, direct the defense of the Company against suits or claims and prepare the prosecution of the Company’s claims against others
- Participate in litigation matters and investigations by coordinating with outside counsel, if retained, regarding potential, actual and on-going litigation, claims and other legal matters
Risk Management
- If requested by General Counsel, function as Standard Process liaison to insurance companies, agents and brokers
- Identify business exposures and risks and select insurance products to mitigate
- Evaluate, negotiate and select business insurance policies that provide maximum protection to the business interests of Standard Process, in a cost effective manner
- Assist in coordination of the renewal process for all business insurance policies
- Coordinate with third party administrator regarding the investigation of claims as may be deemed appropriate
Employment / Labor Law
- As requested, consult with and provide guidance to Human Resources regarding policies, procedures, and employee issues, claims, and terminations.
- Support Human Resources in drafting policies related to workplace conduct and employee benefits
Qualifications
Education
- Bachelor’s Degree
- Juris Doctorate from an accredited law school
Certifications/Licenses
- Member in Good Standing, State Bar of Wisconsin
Experience
- 5 years of experience, preferably in the food and beverage industry or a heavily regulated manufacturing sector
