About the Role
We are seeking a skilled Corporate Paralegal to join our Technology & Startups team. In this role, you will provide essential legal services to emerging tech companies, working with some of the most dynamic and innovative companies on the market.
Key Responsibilities
- Establish company formations, create necessary documents, and oversee execution and filing in relevant jurisdictions.
- Prepare forms for entity qualification or registration in foreign jurisdictions.
- Support drafting of employment agreements, purchase and option contracts, stock plans, and other relevant documents.
- Assist with liquidation and dissolution processes.
Essential Qualifications
- Bachelor's degree.
- 5 years of experience as a corporate paralegal.
- Experience working for a law firm.
- Expertise in procedures, terminology, and documents related to corporate entity formation.
- Familiarity with California Corporations Code, New York Business Corporate Law, and Delaware General Corporate Law.
- ABA-approved paralegal certificate (preferred).
