Job Title: Associate General Counsel
Location: Boston or New York
Overview: The Associate General Counsel will support three primary areas of Suffolk’s business: construction operations, compliance policy implementation and oversight, and corporate legal/governance matters. This is a critical role that will:
- provide direct and daily legal advice to vertical construction project teams on contracts and conflict resolution, including construction litigation;
- in partnership with the General Counsel, take daily responsibility for continuing implementation and enforcement of the Suffolk Compliance Program; and
- support corporate legal matters for Suffolk and its affiliates.
The role is specifically designed for an experienced construction attorney who has demonstrated the ability to support a diverse and challenging variety of complex construction matters. The Associate General Counsel reports to the General Counsel but will work closely with operations and Suffolk’s in-house legal team nationwide.
Operational Responsibilities:
- Day to day, provides detailed legal and business advice to project operations and company management regarding complex contracts, litigation, claims and other legal matters
- Partners with management in the negotiation of complex project contracts
- Assists with the negotiation of construction management agreements, subcontracts and other legal agreements
- Drafts legal letters relating to contract administration and other issues for project teams to send to subcontractors, clients and other third parties
- Manages outside counsel regarding complex litigation and other matters
- Leads training on all legal-related topics for project teams and corporate teams
- Works closely with management to resolve claims with third parties, including active participation in alternative dispute resolution
- Regularly travels to offices within the region and visits project sites to collaborate with management and project teams
- Performs other duties as assigned
Compliance Responsibilities:
- Leads the Suffolk Compliance program day to day, including working with People & Culture (Human Resources) to monitor and respond to all compliance related matters and complaints, including the national compliance hotline
- Working with management and operations teams, participates in all relevant projects to ensure Suffolk remains compliant with all relevant rules and legislation
- Actively trains all Suffolk personnel to ensure Company remains current with local, state and federal compliance requirements and Suffolk’s internal Code of Conduct
Corporate Legal Responsibilities:
- Provides day-to-day support to the Senior Corporate Counsel in connection with managing a variety of legal matters including entity management, vendor agreements, licensing, non-disclosure agreements and a diverse mix of catch all issues the Company and its affiliates regularly need to resolve
Qualifications:
- 8 - 12 years of experience in the practice of law in a corporate legal department and/or a full-service law firm with a majority of daily practice focused on construction law. Respectfully, attorneys who have not focused a majority of their practice in the construction area should not apply to this role.
Licensing, certification, registrations:
- Requires a bachelor’s degree from a 4-year college or university and a Juris Doctorate degree from an accredited law school
- Bar Admission in Massachusetts or New York, or willingness to secure same immediately
- Willingness to travel when necessary (not more than 20%)
