Description
The Law Student Extern will support the General Counsel, Deputy General Counsel, and sales team by conducting legal research, drafting memos, and assisting with contract review. They will gain hands-on experience in corporate and technology law while working on compliance and regulatory matters. The extern will collaborate with attorneys on real-world legal issues and help develop risk assessments. This position offers an opportunity to enhance legal skills in a fast-paced, professional environment.
This externship provides hands-on legal experience while working directly under the supervision of a licensed attorney in a corporate legal environment.
We are seeking candidates that are located within 50-miles of our office in Morrisville, N.C. as this is a hybrid position that will require at least one day worked on site per week..
Core Responsibilities
Contract Support & Review
- Under the supervision of a licensed attorney, assist in the drafting, negotiation, and review of contracts, agreements, and other legal documents.
- Ensure contracts align with company policies, legal requirements, and risk mitigation strategies.
Contract Negotiation
- Support attorneys in contract negotiations with vendors, clients, partners, and stakeholders to help secure favorable terms and conditions.
- Collaborate with legal, finance, and other departments to ensure contract terms align with business objectives and compliance requirements.
- Identify potential risks and provide research-based recommendations under attorney guidance.
Contract Drafting & Analysis
- Assist in drafting, reviewing, and modifying contracts to reflect negotiated terms and legal standards.
- Ensure contracts comply with applicable laws, company policies, and industry regulations under attorney oversight.
Stakeholder Collaboration
- Work with internal teams—including sales, marketing, procurement, and finance—to understand business needs and contract requirements.
- Provide research and guidance on contract-related inquiries while ensuring compliance with company policies.
Contract Management & Compliance
- Maintain contract databases to ensure proper execution, organization, and record-keeping of agreements.
- Assist in implementing contract modifications in response to regulatory or legislative changes.
- Support the review of corporate agreements such as non-disclosure agreements, marketing agreements, and independent contractor contracts.
- Help assess vendor agreements related to data processing and privacy, ensuring compliance with privacy laws and protecting organizational data interests.
Education, Experience, Specialized and Preferred Skills
Education & Experience Level: Two Years of Law School
Required Skills: Critical thinking, operating with integrity, high level of interpersonal skill.
