Looking for an experienced Corporate Paralegal !
The Corporate Paralegal will provide broad-based support to the Legal Department in the administration and support of the company’s legal affairs, all in a manner that displays excellence, a high degree of attention to detail, and a service-oriented approach.
Must be okay with doing legal admin work - create presentations, minutes for board, record keeping etc.
Legal Duties
- Provide support to in-house counsel, including preparation of various legal documents, confidential communications with Board of Directors and senior management.
- Conduct legal and factual research under the direction and guidance of the Company’s attorneys.
- Preliminary drafting of various form agreements, including, Confidentiality Agreements, and Supply Agreement and General Terms and Conditions’ Amendments for review by General Counsel and/or Senior Corporate Counsel.
- Drafting professional communications for internal and external purposes.
- Support litigation matters in conjunction with both inside and outside counsel, including the management of litigation holds and e-discovery support, the review and collection of documents for responsive information, and assistance with discovery and subpoena responses.
- Maintenance of Intellectual Property portfolio, supporting trademark, patent and copyright filings and calendaring renewals.
- Establish working, professional relationship with the Board of Directors in verbal and written/electronic correspondence.
- Maintaining the Bylaws, and Board of Director forms, e.g., rosters, annual election documents, confidentiality agreements, board travel policy, etc.
- Distribute and track execution of Board of Directors Code of Conduct and Annual Disclosure and create report for General Counsel’s review.
REQUIREMENTS:
- Bachelor’s degree and Paralegal Certificate from an ABA-approved program
- Current Florida notary public
- At least 7-10 years’ experience as a paralegal in a law firm or in-house corporate law department with significant experience in corporate governance, entity and contract management
- Strong interpersonal skills and ability to interact with all levels of management
