Position Summary :
The Associate Corporate Counsel will support the General Counsel and Corporate Secretary in managing a broad range of legal, corporate and compliance functions. This role will involve close collaboration across all levels of the business, including executive and board level leadership. The ideal candidate will have experience in corporate governance, M&A transactions, contract review and negotiation, compliance matters, and risk mitigation strategies.
Key Responsibilities :
Legal & Corporate Support
- Provide comprehensive legal support to the General Counsel and senior management, advising on corporate, compliance, and business needs to further the company’s mission and objectives.
Contract Negotiation & Management
Draft, review, and negotiate various agreements such as manufacturing agreements, purchase agreements, non-disclosure agreements, procurement contracts, vendor agreements, inter-company agreements, partnership agreements, and licensing contracts.Ensure compliance with applicable laws and company policies.Strategic Transactions & Investments
Assist with acquisitions, joint ventures, and other strategic transactions.Conduct due diligence, negotiate and draft transaction documents, including merger / share or asset purchase agreements, letters of intent, term sheets, and shareholder agreements.Advise the company on strategic risk assessments and mitigation, ensuring business and compliance risks are appropriately managed across all transactions and agreements.Compliance & Corporate Governance
Support compliance efforts by helping to ensure adherence to industry standards, laws, US and international regulations and company policies.Provide legal guidance on corporate governance matters, such as preparing materials for Board and committee meetings, developing the proxy statement, and reviewing governance policies and charters.Assist with SEC filings, compliance reporting, and corporate governance documentation.Equity / Stock Plan Administration
Maintain company’s equity data, including but not limited to loading and reconciling new awards, terminations, accelerations / amendments, individual tax rates, equity releases and stock option exercises.Monitor, coordinate and respond to inquiries received in the Stock Administration e-mail account.Manage blackout period protocols and communications regarding period starts, ends and processes associated.Training & Policy Implementation
Drive process improvements within the Corporate Legal function, developing and implementing playbooks, policies, and forms to streamline and automate contract management and approval workflows.Lead efforts to train internal teams on contracting policies and legal processes, ensuring alignment across the organization on compliance and legal matters.Required Qualifications :
Juris Doctorate (JD) from an ABA accredited law school.A member in good standing of any state bar and ability to be registered as Authorized House Counsel in Connecticut.Minimum of 3 years of legal experience in a corporate or in-house legal environment, with exposure to M&A, contract negotiation, compliance, and corporate governance.Demonstrated ability to draft and negotiate complex commercial agreements and transaction documents.Desirable Experience :
Experience with SEC filings, corporate governance, and Board-level interactions.Experience with M&A transactions, joint ventures, and international corporate governance.International experience, particularly with global compliance and subsidiary management.Key Competencies :
