The Assistant General Counsel’s role will be primarily responsible for assisting and supporting GreenPeak’s clients in all aspects of sophisticated commercial real estate transactions including, but not limited to, acquisitions, dispositions, leasing and financing, and supporting all corporate and compliance initiatives. This position will report directly to GreenPeak’s General Counsel and will have one direct report.ESSENTIAL DUTIES AND RESPONSIBILITIES : Draft, review and negotiate purchase and sale agreements, access agreements, closing documents, loan documents, leases, operating agreements, and other corporate governance documents.Review and analyze due diligence materials, including title, survey, third-party reports, REAs, and CCRs.Represent borrower on all types of sophisticated commercial real estate financing arrangements including term loans, acquisitions loans, refinances, mezzanine loans, bridge loans, secondary financing, and loan restructuring.Assist with landlord-tenant matters and vendor agreements, as needed.Prepare, draft, and finalize private placement memoranda and offering documents for Regulation D offerings and advise on offering materials and marketing materials to ensure consistency and compliance with securities laws.Advise on disclosure matters, including press releases, distribution materials, investor presentations, and other external communications.Ensure proper execution of all fund subscriptions.Complete all Regulation D and Blue-Sky filing requirements.Provide general support across the organization including on matters involving marketing, investor relations, and corporate and regulatory compliance.Collaborate with outside counsel, where applicable.Collaborate with different departments across GreenPeak and its clients to further the company’s annual performance goals.Perform other duties as assigned.KNOWLEDGE, SKILLS AND REQUIREMENTS : Juris Doctorate is required, and admission in at least one U.S. jurisdiction to practice law.At least 7-10 years’ experience as an attorney in sophisticated commercial real estate transactions and private equity transactions particularly for Rule 506c offerings.First-chair experience leading deals (acquisitions, dispositions, financing, and leasing) and closings, and the ability to take initiative and independently lead projects with little guidance.J.D. from an accredited law school with excellent academic credentials.Strong project and time management skills, the ability to identify and resolve issues in a fast-paced environment, and the bandwidth to support multiple sophisticated transactions at the same time, across various geographies and time zones.Should be highly organized, enthusiastic, dedicated, motivated, and a self-starter who takes pride in his or her work product.Excellent written, oral and communication skills.Able to work collaboratively across various departments.WORK ENVIRONMENT : This is a remote position where the applicant will work from a typical home-based office environment, with minimal exposure to excessive noise or adverse environmental issues.PHYSICAL REQUIREMENTS : Ability to sit for prolonged periods of time.POSITIONS SUPERVISED : Paralegal#J-18808-Ljbffr
