Job Purpose
This position will be an integral member of the Corporate Legal Team who works with other members of the team to provide legal assistance primarily for entities management, including statutory compliance, governance and filing requirements, and sustainability reporting. The paralegal will also support other corporate governance matters and regulatory obligations as assigned. The ideal candidate will be extremely detail oriented, confident, professional, and proactive in their approach. The candidate must have the ability to work collaboratively and be capable of working autonomously. Job Description
With respect to the paralegal’s entities portfolio (as noted above):
- Manage Corporate Governance and Compliance: Oversee corporate obligations, ensure entities are in good standing, and maintain officer and director slates in accordance with corporate policies and jurisdictional requirements.
- Coordinate and Document Corporate Activities: Organize directors’ and shareholders’ meetings, draft and prepare necessary corporate documentation, and manage corporate records and databases.
- Support Transactions and Legal Operations; Assist legal, compliance, finance, and tax teams with various transactions (e.g., M&A activities, financings, restructurings) and corporate administrative tasks (e.g., dividends, share capital reductions), including notarizations, filings, and corporate governance documentation.
- Corporate Legal Team: Assist with the drafting, implementation, and review of corporate governance policies and procedures ensuring compliance with the relevant legislation; managing external counsel, budgeting, and invoicing.
- Sustainability Reporting: Strong understanding of sustainability metrics and data management, with proficiency in using sustainability reporting tools and software; provide key inputs to the development and implementation of the sustainability technical environment, including supporting automation and program integration; ability to analyze, interpret, and present complex sustainability data in clear and concise manner for sustainability reports and corporate communications; assist with sorting, organizing, and presenting data according to regulatory requirements and company initiatives.
- BA/BS or equivalent
- Paralegal certificate from an accredited paralegal program preferred
- Minimum 5 years working as a Corporate Paralegal or entities management specialist; in-house and/or top-tier law firm experience preferred.
- Experience with entities management, corporate governance, and sustainability reporting.
- Advanced proficiency in MS Word, Excel, PowerPoint, Outlook and Adobe Acrobat.
- Must be proficient in written and verbal English language.
- Proficiency or fluency in French or Portuguese preferred.

- High level of maturity, independent judgement, adaptability, and professionalism, including the ability to remain calm and productive under pressure.
