Job Title : In-house Legal Counsel Job ID : 77197 Location : Houston, Texas Overview : Our client is a publicly traded energy company focused on advancing multiple lithium brine projects in the United States to support a new era of domestic US lithium production in support of the global energy transition. They believe the future of North American energy security can be unlocked through the innovative development and use of technology in an environmentally sustainable way, as evidenced by their long-term operation of a proven industrial-scale Direct Lithium Extraction (DLE) demonstration plant. We are seeking a highly qualified and experienced In-House Legal Counsel to join our client's team. The ideal candidate will bring significant corporate law experience to provide strategic legal counsel across a broad range of business issues, and legal matters, including corporate governance, compliance, securities law, contract negotiation, and general corporate matters. This role reports directly to the CEO and will involve advising senior leadership and various business units on complex legal issues and will require the ability to navigate a fast-paced, dynamic environment. You will work closely with senior management and various departments within the organization to help the company navigate the legal aspect of the business while ensuring it remains compliant with applicable laws and regulations. What you will be doing :
- Provide legal advice and counsel on corporate governance, business strategy, regulatory compliance, and legal risks.
- Assist the Board of Directors, executives and management on corporate governance practices, fiduciary duties and best practices for board operations and shareholder relations.
- Manage legal disputes, including coordination with external counsel and oversight of litigation.
- Develop and implement best practice legal strategies to minimize risk and protect the company's interests.
- Work closely with senior leadership to develop legal strategies that align to business objectives, considering risk mitigation, business growth and long-term strategic objectives. Identify and manage legal risks across business operations.
- Oversee the development, implementation, and monitoring of compliance programs, ensuring adherence to laws, regulations, and industry standards, applicable to federal, state, international and local laws.
- Collaborate closely with various business units to provide practical legal advice that supports business operations and strategic objectives.
- Manage corporate-related litigation matters, working with outside counsel as needed.
- Manage the company's corporate legal filings, including company formation, governance, and regulatory compliance filings.
- Ability to stay up-to-date with evolving legal and regulatory frameworks, adapting advice and strategies as needed.
