Juris Doctor from an ABA accredited law school, active license in good standing in the United States. Pennsylvania Bar admission preferred

Primary Duties:
- Ensure that the company is complying with all pertinent regulatory requirements, including international expansion and technology export requirements.
- Research and anticipate legal issues that could impact the company and prepare reports for senior leadership as needed.
- Assist with drafting and negotiating transactional matters such as M&A activities, business development, partnership, joint venture, commercial and vendor contracting, and due diligence and post-close integrations.
- Handle corporate filings both domestic and abroad.
- Assist with the preparation of monthly, quarterly and annual business review materials that will be for executive presentations.
- Commit to promoting a mission-oriented, ethical workplace.
- Provide for the implementation, counsel, and ongoing maintenance on a wide range of compliance, risk management, governance, finance, employment and policy matters with legal implications.
- Assist in the management of outside counsel, and aid in trial/trial preparations as deemed necessary.
- Spearhead internal education initiatives and trainings on governance, risk and compliance topics, such as acquisitions, mergers, risk avoidance, regulatory compliance and general risk mitigation, as directed time to time by the General Counsel or at the request of the senior management team.
- Provide accurate legal guidance to management on matters that affect the Company and ensure that the Company is complying with all current business process laws and regulations.
- Develop additional skills and/or expertise as needed as the company grows, such as employment law, intellectual property, people-management, legal operations, etc. to truly reflect the “generalist” aspects of the role.
- Juris Doctor from an ABA accredited law school, active license in good standing in the United States. Pennsylvania Bar admission preferred
- 10 years of relevant legal experience, including a mix of large law firm and in-house experience, preferably with a software or healthcare technology company.
- Strong understanding of SaaS business models, and related legal and business issues.
- Proven ability to identify and analyze legal issues, draft key documents, and present clear and concise recommendations to leadership teams.
- Working knowledge of public company corporate and subsidiary governance, securities, reporting, and corporate filings both domestic and abroad.
- Excellent oral and written communication skills, with strong executive presence and ability to influence stakeholders on cross functional teams at all levels of seniority.
