The Opportunity :
We are seeking a Part-Time In-House Corporate Counsel to support our client’s legal team. This role requires a commitment of two to three days per week, with one day per week onsite in Manhattan. The Corporate Counsel will focus on transactional matters, loan agreements, governance issues, and managing outside counsel relationships, while also overseeing and providing guidance to an in-house paralegal.

About the Client :
Our client is a not-for-profit organization that facilitates lending through loan funds and bank lines of credit, providing financing to healthcare institutions and large non-profits with loan amounts ranging from $1M to $10M . Some loans are collateralized with real estate, while others involve grant agreements.
Key Details :
Commitment : Part-time; 3 days per week
Location : Hybrid, 1 day per week onsite in Manhattan
Start Date : March, 2025
Compensation : Full-time equivalent of $180,000 to 220,000 per year (pro-rated based on part-time hours).
Responsibilities :
Contracts & Transactions :
- Work on loan transactions, including loan extensions, maturities, and documentation
- Review, negotiate, and facilitate loan agreements
- Coordinate with outside counsel on transactional and litigation matters
- Ensure loan extension requirements are met and completed efficiently
