About the role
As Corporate Counsel, Technology Transactions at TensorWave, you will play a pivotal role in supporting our business by drafting, negotiating, and advising on a variety of complex commercial transactions and strategic partnerships, with particular emphasis on cloud and technology sales. You will report to the General Counsel and will work closely with the C-Suite and cross-functional stakeholders to invent, simplify, and implement innovative solutions to TensorWave's commercial transactions needs.
What you'll do
- Draft, review, negotiate, and manage a wide range of complex commercial contracts, including vendor agreements, strategic partnership agreements, software licensing agreements, IaaS and SaaS agreements, hardware purchasing / leasing, MSAs, SOWs, and NDAs.
- Provide strategic legal advice regarding intellectual property rights, ownership, licensing and data privacy issues in the context of commercial transactions.
- Collaborate with internal stakeholders to understand business objectives and ensure contracts reflect these goals while managing legal risks.
- Efficiently manage risk and ensure business and compliance needs are balanced and accurately reflected in the company's commercial agreements.
- Support the continuous improvement of the company's standard form agreements and legal processes.
- Work collaboratively with the General Counsel and other internal stakeholders and efficiently leverage outside counsel as necessary.
