Job Description
We are seeking a Junior Counsel to support our corporate legal functions in a fast-paced biotechnology company. This role will focus on corporate governance, compliance, risk management, and transactional matters. The Junior Counsel will assist in drafting and reviewing corporate policies, board resolutions, securities filings, and investor communications, ensuring compliance with SEC, FDA, and other regulatory bodies. They will also support M&A activities, strategic partnerships, and financing transactions, collaborating closely with senior legal counsel, finance, and executive leadership. The ideal candidate has a strong foundation in corporate law, excellent analytical skills, and the ability to manage multiple priorities in a rapidly evolving industry. Reports to: Vice President of Strategic Initiatives
Position: Full-time, Exempt
Essential Duties and Responsibilities:
· Assist in drafting, reviewing, and maintaining corporate governance documents, including board resolutions, bylaws, and policies.
· Support securities compliance by preparing and reviewing SEC filings, investor disclosures, and regulatory reports.
· Conduct legal research on corporate and regulatory matters to ensure compliance with evolving laws and industry standards.
· Assist in acquisitions and corporate transactions by reviewing agreements, conducting due diligence, and coordinating with external counsel.
· Draft, negotiate, and review contracts related to corporate operations, including vendor agreements, NDAs, and partnership agreements.
· Support internal compliance programs by developing policies and training materials with extended team members.
· Assist in managing corporate records, ensuring proper documentation and regulatory filings are maintained.
· Work closely with senior executive team to provide strategic legal support for corporate decision-making.
Education and/or Work Experience Requirements:
· Juris Doctor (J.D.) degree from an accredited law school with strong academic credentials.
· Licensed to practice law and in good standing in at least one U.S. jurisdiction.
· 1-3 years of legal experience in corporate law, preferably in a biotechnology, pharmaceutical, or life sciences company, or at a law firm with relevant industry exposure.
· Experience handling corporate governance matters, including drafting board resolutions, maintaining corporate records, and supporting compliance with SEC and other regulatory requirements.
· Knowledge of securities laws, public company reporting obligations, and regulatory filings such as 10-Ks, 10-Qs, and proxy statements.
· Familiarity with M&A transactions, venture financing, and strategic partnerships, including due diligence, contract negotiations, and risk assessments.
· Strong understanding of FDA, SEC, and other regulatory frameworks relevant to biotechnology and life sciences industries.
· Experience drafting, reviewing, and negotiating corporate contracts, including NDAs, vendor agreements, and licensing arrangements.
· Strong legal research and analytical skills, with the ability to interpret and apply complex corporate and regulatory laws.
· Ability to manage multiple projects in a fast-paced, highly regulated environment, while working collaboratively with cross-functional teams and senior executives.
Travel Requirements:
The role may require some domestic or international travel up to 10% of the time.
