Responsibilities :
- Entity formations, dissolutions, and maintenance experience required.
- Billable hour requirement : 1600 annually.
- Engage in a broad range of transactional and governance matters, including mergers and acquisitions, private equity, and corporate finance.
- Draft and review organizational documents, including articles of incorporation or dissolution, stock certificates, and merger agreements.
- Draft contracts, such as non-compete agreements.
- Prepare and file UCC financing statements.
- Prepare summaries of corporate statutes.
- Maintain client minute books and stock ledgers.
- Prepare and file documents with government agencies, such as the SEC, IRS, and Secretaries of State of multiple jurisdictions.
- Obtain EINs.
