Key Responsibilities : Assist in the negotiation, drafting, and review of licensing agreements, commercial contracts, and M&A documentation.Conduct due diligence and provide support on transactions, ensuring compliance with legal requirements and client expectations.Advise clients on contract interpretation, regulatory issues, and strategic business decisions.Collaborate closely with senior attorneys and partners on high-profile M&A and licensing matters.Prepare and review complex corporate and commercial agreements, including non-disclosure agreements (NDAs), joint ventures, and supply agreements.Assist in the development and implementation of corporate governance frameworks.Monitor and stay updated on regulatory developments affecting commercial transactions and corporate governance.Provide support in managing client relationships and addressing legal concerns.Qualifications : Juris Doctor (JD) from an accredited law school.At least 2 years of experience in licensing, commercial contracts, and M&A law, ideally from a top-tier law firm.Strong understanding of corporate and commercial law, including experience with regulatory compliance and contract negotiations.Exceptional legal writing, research, and communication skills.Ability to handle complex legal matters with a high degree of independence and professionalism.Excellent interpersonal skills and the ability to collaborate in a team-oriented environment.Strong attention to detail and organizational skills, with the ability to manage multiple projects simultaneously.Admission to the California State Bar.#J-18808-Ljbffr
