Position Summary :
The Corporate Paralegal is responsible for assisting the General Counsel of The Premiere Group in handling all legal matters for the company and its affiliates in connection with business acquisitions, real estate transactions, corporate governance, maintenance of corporate records, and general administrative support. Our Paralegal will also be responsible for accurately organizing and keeping files, leading record management responsibilities, and working on various team projects, as well as on assisting and supporting the Legal Team in a variety of other department matters, supporting multiple in-house stakeholders and Premiere and its affiliates, in addition to providing general corporate administrative assistance to the General Counsel as needed.
Essential Duties and Responsibilities :
The essential functions include, but are not limited to the following :
General Duties :
- Perform legal research, fact checking, and analysis.
- Respond to audit requests, record requests, and inquiries from internal or external parties.
- Create, review, analyze, and maintain legal and other business documents and records, actively delivering solutions and managing all levels of corporate administrative tasks within the department from basic to complex with minimum supervision.
- Maintain an organized and accurate filing system for the company and entities.
- Maintain and update communication reminders for corporate governance deadlines; calculating and calendaring all pertinent Legal Department deadlines.
- Liaise with external parties regarding business and real estate closings.
- Reviewing and analyzing financing options, lending requirements, title affidavits, legal descriptions, property condition reports, environmental reports, title history reports, title commitments, zoning reports, and bankruptcy claims.
- Assist in aspects of mergers and acquisitions and corporate governance.
- Assist the legal department in managing subsidiaries and actions of various legal entities regarding corporate governance matters.
- Prepare and oversee the filing of all necessary state, local and federal forms (including annual reports, DBA filings, name changes, corporate resolutions, dissolutions, withdrawals, and qualifications).
- Assist the General Counsel in the drafting and reviewing of legal documents such as bylaws, compliance documentation, entity formation and organizational documentation.
- Organize closing documents and prepare electronic closing binders.
