A leading renewable energy organization is seeking an experienced and dynamic Assistant General Counsel to join its legal team in Chicago.
This role focuses on providing transactional legal support for build-transfer agreements and mergers and acquisitions.
Key Responsibilities:
- Deliver comprehensive legal support for BTA transactions, including the review and negotiation of purchase and sale agreements and related procurement contracts.
- Provide legal counsel on M&A transactions, covering the drafting, negotiation, and analysis of purchase and sale agreements and ancillary documents.
- Collaborate with corporate and tax teams to structure ownership frameworks and draft related contribution, distribution, and assignment agreements.
- Draft, review, and negotiate various inter-affiliate agreements.
- Coordinate legal efforts across internal teams, including real estate, project development, and external counsel.
- Manage relationships with outside legal counsel and consultants.
- Identify potential project risks and offer strategic legal recommendations.
Qualifications:
- Juris Doctor (J.D.) or equivalent from an ABA-accredited law school with an active license to practice in at least one U.S. jurisdiction.
- Minimum of 8 years of transactional legal experience, including at least 5 years in the renewable energy sector.
- Demonstrated expertise in drafting and negotiating procurement and M&A documents.
- Strong ability to assess legal risks and develop effective mitigation strategies.
- Proven track record of managing multiple projects in a fast-paced, team-oriented environment.
- Proactive, detail-oriented, and resourceful with strong decision-making skills.
- Exceptional communication skills, with the ability to convey complex information clearly and concisely.
- Proficient in Microsoft Office Suite and adaptable to new technologies.
Preferred Experience:
- In-depth knowledge of renewable energy investments, energy tax credits, and government incentive programs.
- Familiarity with EPC contracts, energy transmission, and regulatory frameworks.
- Background in corporate finance documentation, including letters of credit, revolving credit facilities, and real estate transactions.
- A blend of top-tier law firm training and in-house counsel experience.
- Experience advising senior leadership on legal and strategic matters.
