JOB SUMMARY

Toyota Industries North America (TINA) is seeking a Corporate Counsel to provide in-house legal services to the Company with particular emphasis on contract review and negotiation. Under the general supervision of the TINA General Counsel, the Corporate Counsel will be responsible for drafting, reviewing and negotiating legal contracts, letters of agreement and other documents related to commercial, financial and operational matters for the Company on a day-to-day basis. This position will work directly with internal customers and external parties in negotiating terms and conditions.

Corporate Counsel will also be responsible for collaborating and providing advice, counsel, training and support to Company leadership as needed on a variety of legal matters and disputes, including corporate governance, litigation, M&A activities, compliance, cybersecurity, insurance and privacy matters. A successful candidate may have experience or be willing to learn proper compliance procedures and industry practices with respect to federal, state and local law.


WORK LOCATION

Hybrid work: This position will have the option for remote work, coming into the office 3 days per week.


SUPERVISORY RESPONSIBILITIES

  • Performs work with limited general guidance from Manager.
  • Provides direction, mentorship, technical, and regulatory guidance for less experienced associates in Department.
  • May recruit, interview, recommend for hire, and train new staff.
  • May supervise and prioritize duties to department associates assigned.


DUTIES/RESPONSIBILITIES

  • Drafting, reviewing and negotiating legal contracts, letters of agreement and other documents related to commercial, financial and operational matters for the Company on a day-to-day basis. This position will work directly with internal customers and external parties in negotiating terms and conditions.
  • Corporate Counsel will also be responsible for collaborating and providing advice, counsel, training and support to Company leadership as needed on a variety of legal matters and disputes, including corporate governance, litigation, M&A activities, compliance, cybersecurity, insurance and privacy matters.
  • Oversees drafting and proofing of documents, including contracts or contract templates.

REQUIRED EDUCATION AND EXPERIENCE

  • Juris Doctorate Degree
  • Admitted to a state bar
  • 3-5 Years full-time relevant legal experience
  • Clear and effective verbal and written communication skills
  • Demonstrated track record of sound judgment, integrity and business ethics
  • Ability to organize and prioritize competing projects
  • Proficiency in Microsoft Office (Excel, Word, Outlook) and intranet/internet
  • Have an active driver's license


PHYSICAL REQUIREMENTS

  • Must be able to lift up to 15 pounds at times.
  • While performing the duties of this position, the employee is frequently required to sit, stand, and communicate verbally and in writing.
  • Manual dexterity and coordination are required to operate standard office equipment such as computer keyboard, calculator, and printer.
  • Prolonged periods of sitting at a desk and working on a computer.
  • Work may be performed in an open office environment with cubicles.


TRAVEL

  • Ability to travel as needed: Domestic travel periodically and international travel occasionally
