Legal Counsel

We are looking for a Legal Counsel to support our team by providing ongoing legal counseling in a wide range of areas, including labor and employment, commercial transactions, marketing, consumer laws, privacy, intellectual property, and regulatory compliance. As a Trex Legal Counsel, you’ll have high attention to detail and excellent legal and business judgement. This position reports to the Senior Vice President, Chief Legal Officer and Secretary.

RESPONSIBILITIES

• Provide ongoing legal counseling in a wide range of legal areas, including labor and employment, commercial transactions, marketing, consumer laws, privacy, intellectual property, and regulatory compliance.
• Resolve issues that arise in existing commercial relationships and handle pre-litigation legal disputes and inquiries.
• Structure, draft and negotiate commercial agreements, including distribution, licensing and marketing contracts.
• Assist with securities regulations compliance, including reporting and filing documents with the Securities and Exchange Commission.
• Assist in the management of the company’s insurance policies and strategies.
• Insider trading compliance, including Section 16 filings.
• Support for mergers and acquisitions, strategic investments and other corporate transactions.
• Executive compensation matters, including equity compensation program support for long-term incentive pay structures.
• Manage and oversee company-wide record retention policy.
• Partner with departmental cross-functional teams, including Finance, Marketing, Sales, Operations, Research and Development on various projects.

EXPERIENCE

Required:

• 5 years of experience in general corporate legal matters.
• Juris Doctorate received from a competitive law school and active license to practice.
• The incumbent must possess a high level of energy, tact and strong desire to grow and must be a team player.

BASE SALARY RANGE: $130,000-$209,000 annually

The salary range provided serves as a general guideline for potential compensation for this position. It reflects the base salary and does not account for other benefits or additional compensation opportunities that may apply. This role is also eligible for further compensation through an annual and/or sales bonus, in addition to the base salary.
