Corporate Associate Attorney- ESOP Practice
Location: Columbus, OH- Hybrid Schedule
Tucker Ellis LLP is seeking a talented and motivated Corporate Associate Attorney to join our Corporate Group, specializing in our ESOP practice in Columbus, Ohio. This is a unique opportunity to develop expertise in the growing and niche field of Employee Stock Ownership Plans (ESOPs) while working alongside experienced partners in a collaborative, client-focused environment.
About the Opportunity:
- Work directly with ESOP Partner who will provide hands-on mentorship.
- Gain immediate client interaction and take on meaningful responsibilities from day one.
- Collaborate with a dynamic team advising clients on ESOP transactions, compliance, and related corporate matters.
Key Responsibilities:
As you develop your expertise in ESOPs, you will:
- Conduct legal research on ESOP-related regulations, ERISA compliance, and corporate governance.
- Draft plan documents, transaction agreements, and compliance filings under attorney supervision.
- Assist with due diligence for ESOP transactions, including reviewing corporate documents and financial statements.
- Communicate with clients, financial advisors, and third-party administrators to facilitate transactions and plan compliance.
- Support negotiations and closing processes for ESOP transactions.
- Stay up to date on evolving ESOP and ERISA regulations to provide proactive legal guidance.
Who We’re Looking For:
- 2 to 3 years of experience as an associate attorney in a law firm, open to candidates from corporate or other practice areas, as long as there is a strong interest in learning ESOPs and ERISA.
- Excellent analytical, communication, and problem-solving skills.
- A desire to grow within a highly specialized and rewarding practice area.
- Juris Doctor (J.D.) from an accredited law school.
- Active bar license in Ohio or eligibility for admission.
