About The Role
The Associate General Counsel will provide comprehensive legal support to our electrical distribution company, ensuring compliance with all applicable laws and regulations across multiple states. This role involves advising senior management; drafting and negotiating contracts, leases and loan documents; offering advice on employment law issues; managing litigation; and overseeing regulatory compliance. The ideal candidate must be admitted to the New Jersey Bar and have extensive experience in commercial transactions and corporate law.

About The Role
The Associate General Counsel will provide comprehensive legal support to our electrical distribution company, ensuring compliance with all applicable laws and regulations across multiple states. This role involves advising senior management; drafting and negotiating contracts, leases and loan documents; offering advice on employment law issues; managing litigation; and overseeing regulatory compliance. The ideal candidate must be admitted to the New Jersey Bar and have extensive experience in commercial transactions and corporate law.
What You’ll Do
- Provide legal counsel to senior management on business transactions, corporate governance, corporate strategies and their implementation.
- Draft, review, and negotiate a wide range of contracts and agreements, including terms and conditions for purchase orders, supply agreements, distribution and sales agreements, master services agreements, leases, loan documents, and non-disclosure agreements.
- Prepare legal documents, policies and procedures.
- Assist in handling mergers, acquisitions, and other corporate transactions.
- Conduct legal research and stay updated on relevant legal developments.
- Provide training and guidance on legal issues and corporate policies.
- Ensure compliance with corporate governance standards.
- Offer advice on labor, wage/hour, and other employment issues.
- Oversee litigation, arbitration and administrative proceedings.
- Advise on regulatory issues and risk management strategies.
- Collaborate with outside counsel when necessary.
- Manage and resolve business disputes.
- Ensure adherence to ethical standards within the organization.
- Oversee the company’s intellectual property matters.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the New Jersey Bar.
- Minimum of 8 years of private law practice and/or corporate in-house legal experience, with emphasis on commercial transactions, corporate law, mergers and acquisitions, commercial leasing, financing transactions, and employment law.
- Strong understanding of regulatory compliance matters.
- Excellent written and verbal communication skills.
- Proven leadership and managerial capabilities.
- Ability to work under pressure and meet deadlines.
- Experience in advising senior management and board members.
- Proficiency in legal research tools.
- Strategic thinking with strong problem-solving skills.
- Experience in the electrical distribution industry or a related field.
- Familiarity with multistate regulatory environments.
- Strong negotiation and conflict resolution skills.
- Self-starter with the ability to work independently with little oversight.
- Ability to manage multiple projects simultaneously.
- Some knowledge of litigation practice.
- Juris Doctor (JD) degree from an accredited law school.
- Active admission to the New Jersey Bar.
- Compliance with all applicable continuing legal education requirements.
