Position Summary
UI Charitable Advisors is seeking an experienced nonprofit In-House Counsel to provide legal oversight and strategic advice on all aspects of the organization’s operations, governance, and client services. The In-House Counsel will play a critical role in ensuring compliance with nonprofit laws, tax regulations, contracts, and corporate governance matters. This role requires a strong understanding of nonprofit and charitable giving laws, as well as experience in contract negotiation, risk management, and regulatory compliance.
Key Responsibilities
- Provide legal guidance on nonprofit governance, tax-exempt compliance, and charitable giving regulations.
- Draft, review, and negotiate contracts, agreements, and other legal documents related to client services, donor gifts, vendors, and partnerships.
- Ensure compliance with federal and state nonprofit laws, including IRS regulations and charitable solicitation laws.
- Advise leadership on risk management, employment law matters, and corporate policies.
- Assist in structuring charitable gifts for Donor-Advised Funds, Fiscal Sponsorships, General Field of Interest Funds and other charitable vehicles to ensure compliance with legal and ethical standards.
- Support board governance, including bylaws, policies, and fiduciary responsibilities.
- Monitor changes in laws and regulations affecting the nonprofit sector and provide proactive legal updates to leadership.
- Oversee intellectual property matters, including trademarks, copyrights, and licensing agreements.
- Represent the organization in legal matters, working with external counsel as necessary.
Qualifications & Skills
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in Utah or ability to obtain licensure within a reasonable timeframe.
- Minimum of 3 years of experience practicing law, with a strong focus on nonprofit, tax-exempt organizations, or philanthropy law.
- Expertise in contract negotiation, nonprofit governance, and regulatory compliance.
- Strong analytical, problem-solving, and communication skills.
- Ability to work independently and provide strategic legal advice in a fast-paced environment.
- Experience working with charitable organizations, foundations, or Donor-Advised Funds is preferred.
- Strong written and verbal communication skills, as the In House Conusel will need to liaise with both internal teams and external providers.
- Capable of handling multiple projects at once, prioritizing tasks, and meeting deadlines. This also includes the ability to coordinate and communicate with various stakeholders.
