Total Rewards: We understand compensation is an important factor as you consider the next step in your career . The estimated salary range for this position is $116,000 to $140,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).

- This role is hybrid and requires being on-site (3) days a week at our Northbrook office.
- Support the financial and accounting due diligence of multiple M&A target companies at any given time, supporting the Controllership function, Customer Operating (business) Units and Corporate Development
- Provides COUs and Corporate Development insight into business drivers, strategies, financial performance and trends, cash flow, and working capital requirements of target company that can be used in the development of the valuation model (including applicable Quality of Earnings adjustments)
- Reviews the stock/asset purchase agreement to avoid undesirable accounting outcomes and assists COU Finance and Corporate Development with negotiating key terms
- Supports and verifies purchase agreement calculations for closing agreements (e.g. indebtedness / net debt, net working capital, final/estimated closing statements)
- Coordinates the execution of accounting integration activities from the M&A integration playbook, supporting multiple integration projects simultaneously
- Coordinate and execute post-acquisition Accounting review, compare to UL Solution Accounting standards, and develop integration plan
- Assist with Accounting integration of acquired entities into existing UL Solution’s accounting structure, systems, and processes
- Analyzes financial and operating results within the context of a proposed transaction
- Identifies and proposes appropriate resolutions to critical issues related to the M&A process
- University Degree in Accounting, Finance or related discipline
- At least 5 years directly related experience, including:
- Minimum of 3 years public accounting experience (pref with Big 4 accounting firm); or
- Transaction Services with deal experience in various industries (due diligence)
- US Certified Public Accountant (CPA) required
- Fundamental technical knowledge of US GAAP and the application to M&A transactions
- Experience in software and professional services industries is a plus
- Strong familiarity with financial models in Excel (i.e. databooks) and various other source documents
- Experience with post-merger integration including understanding of acquisition lifecycle, integration planning and execution.
- Strong oral and written communication skills are necessary to interview target management, interpret and document responses and present feedback to acquisition team members
- Detail oriented and ability to identify risks, summarize key findings and communicate outcomes in an easy to interpret manner
- Translating raw data into practical insights and recommendations
- Ability to prioritize work independently, take ownership of deliverables, navigate ambiguity, shift priorities seamlessly, and juggle multiple projects simultaneously
- Knowledgeable with Power Query, PowerPivot and other relevant data tools.
- Self-motivated individual that can adapt to changing environments
