Job Description: Uniphore is looking for a Senior Counsel to join Uniphore’s dynamic and collaborative legal team and to lead its worldwide commercial efforts. The person in this role will be a key hire for Uniphore, in a hands-on position leading the negotiation of the Company’s biggest dollar and highest-impact deals and providing thought leadership around commercial strategy and streamlining sales processes. This position will have high visibility and interaction with the C-Suite so it requires someone with the maturity and clear communication skills to distill complex concepts into actionable items. Initially, there will be two people that report into this position, so management experience is a plus. The ideal candidate in this role will have deep SaaS experience, a working knowledge of revenue recognition as it relates to software, but most importantly, be driven, with a strong focus on customer success. Primary Responsibilities: Lead the drafting and negotiation of enterprise customer agreements, including SaaS agreements (and related data privacy addendums), technology license agreements, development and collaboration agreements, professional service agreements, and consulting services agreements. Serve as the escalation point to counsel reporting into this position. Develop and iterate the Legal team’s commercial strategy to scale with the company. Support our Finance, Sales, Delivery and Product teams by providing legal guidance and contract interpretation. Manage outside counsel and other teammates as needed. Seek ways to streamline and improve on inefficiencies, including continual improvement of forms and processes in response to customer concerns or internal demands. Required Experience: Prior experience negotiating SaaS/Software contracts is a must. The successful candidate in this role will have 5 years of experience autonomously negotiating agreements for a high growth company. Team player with exceptional people skills who has the demonstrated ability to collaborate and build strong relationships at all levels of an organization. Pragmatic, business focus with an understanding of business goals, and the ability to assess and creatively manage risk. Able to thrive in a fast-paced environment and successfully manage competing deadlines. Strong understanding of IP ownership and data protection/privacy issues in the context of technology/commercial transactions. Outstanding legal and business judgment, capable of making smart decisions in ambiguous situations. J.D. from an accredited law school. Hiring Range: $186,900 - $233,600 - for Primary Location of USA - CA - Palo Alto The specific rate will depend on the successful candidate's qualifications and prior experience.
