United Therapeutics (Nasdaq: UTHR) seeks to travel down the corridors of indifference to develop treatments for rare, deadly diseases. We were founded in 1996 by a family seeking a cure for their daughter’s pulmonary arterial hypertension( PAH). Today, we have six FDA-approved therapies that treat PAH, pulmonary hypertension associated with interstitial lung disease (PH-ILD) and neuroblastoma, a rare pediatric cancer. Our near-term pipeline seeks to develop additional therapies for PAH and pulmonary fibrosis (PF). The cure for end-stage life-threatening diseases like PAH, PH-ILD, PF, and many others is an organ transplant, but only a small percentage of donated organs are available to address the vast need. For this reason, we are working to create manufactured organs to address the shortage of kidneys, hearts, lungs, and livers available for transplant. We believe an unlimited supply of tolerable, transplantable organs will eliminate the transplant waiting list and cure end-stage organ diseases for which transplant is not currently an option. Who you are You are a strategic, results-driven leader with deep expertise in financial reporting, internal controls, technical accounting, and incentive-based compensation areas. You will directly contribute to the goal of maintaining full compliance with all SEC and Sarbanes-Oxley rules and regulations. You will also be responsible for the technical accounting research and documentation needed to ensure accurate reporting and disclosure in the Company's SEC filings. This leader must be highly collaborative, working cross-functionally to build a strong accounting/financial foundation that supports full compliance with accounting and regulatory requirements and, ultimately, the growth of our business. Lead the organization's overall financial reporting strategy to produce timely and accurate accounting and external financial reports (including 10-K, 10-Q, 8-K (Earnings Release), S-8, Proxy), with the ultimate goal of obtaining an unqualified independent audit opinion on the UT annual consolidated financial statements and separately the UT report of the internal controls over financial reporting. Must be detailed and attentive to changing financial statement, footnote and MD&A disclosure requirements and applicability to UT’s evolving business. Ensure timely and accurate filings in accordance with SEC rules and regulations. Oversee statutory audit requirements and support international filings. Collaborate with senior leadership and functional business leaders to integrate financial reporting considerations into business activities, strategic planning opportunities, and related compliance requirements. Ensure timely and accurate reporting of the financial results to different constituencies, including the Board of Directors/ Audit Committee, UT management, independent auditors, and the SEC, among other users of financial information. Lead UT’s internal control efforts to ensure compliance with Sarbanes-Oxley standards and assist other members of the Company to maintain and update existing internal control documentation. Implement appropriate financial and system related internal control policies and procedures that are properly designed and applied in a consistent manner to support internal control documentation and other internal control compliance requirements. Provide technical accounting expertise and leadership to the finance group and other teams at UT. Research, prepare and review technical accounting memos and footnote support for new and proposed accounting standards. To accomplish this, the individual will be expected to keep current on accounting and financial regulatory developments in order to ensure compliance with current reporting and disclosure requirements. Responsible for all accounting and disclosures related to UT’s share-based compensation (SBC) and other incentives, including oversight of UT’s expense and reporting tool. Lead the evaluation of all UT’s SBC programs, including restricted stock units, stock options, performance-based awards, and employee stock purchase plan. Participate in review and feedback of SBC plan documentation. Review complex contracts to identify, research, and document accounting impacts. Consult with and manage external accounting advisers and auditors, as appropriate. Communicate results to impacted teams and leadership. Provide operational leadership to teams impacted by technical accounting results to ensure the appropriate processes and internal controls are in place. Participate in corporate and business development activities, including leading accounting, disclosure, and internal control aspects. Must be able to offer timely participation in working group reviews and proactively share relevant feedback. Inspire, mentor, manage and motivate staff to enhance business and financial knowledge through experience, internal exposure, collaboration, leadership and technical development and learning. Accountability for direct reports and oversight of others through their involvement in shared processes, for example, financial reporting and internal controls. Responsibility for oversight and management of external auditors and outsourced internal audit support. Responsible for developing and managing their own budget, including vendor relationships. Minimum Requirements Bachelor’s degree in accounting, finance, or business Certified Public Accountant (CPA) with current state licensing requirements At least 15 years of progressive experience in an accounting/finance role At least 10 years of experience at a Big 4 firm or equivalent experience At least 10 years of experience in corporate leadership/management role Experience in the life sciences (e.g., biotechnology, pharmaceuticals, medical technology, etc.) Comprehensive understanding of U.S. GAAP, financial reporting requirements, and regulatory compliance. Experience with SEC filings Understanding of executive and incentive-based compensation programs Proactive, take-charge, process-oriented mindset with the proven ability to drive change and make an impact Proficiency in accounting software and ERP systems. Advanced Excel skills required Excellent analytical, problem-solving, and decision-making abilities.
