Job Overview
We are seeking a highly motivated and detail-oriented Transactions Associate to join our growing team in Dallas, TX. The ideal candidate will have 3–5 years of experience handling complex transactional matters, with a strong foundation in mergers and acquisitions (M&A), private equity, real estate, or corporate law. Responsibilities
- Assist in structuring, negotiating, and drafting key documents for various types of transactions, including mergers and acquisitions, private equity investments, joint ventures, and real estate deals.
- Provide legal counsel and strategic advice to clients throughout the transaction lifecycle, from initial due diligence to post-closing integration.
- Conduct detailed legal research and analysis of laws and regulations impacting transactions.
- Coordinate with internal teams, including senior associates, partners, and other departments, to ensure successful deal execution.
- Manage and supervise due diligence processes, reviewing contracts, documents, and corporate records.
- Prepare transaction documentation, such as purchase agreements, disclosure schedules, and closing documents.
- Assist with drafting and negotiating ancillary agreements, including non-compete clauses, confidentiality agreements, and financing documents.
- Provide clients with advice on legal and regulatory requirements and help identify potential risks and opportunities.
- Communicate directly with clients, opposing counsel, and other stakeholders to facilitate the negotiation and completion of transactions.
- Maintain a strong focus on accuracy, efficiency, and compliance throughout the transaction process.

- Experience working on large, high-profile transactions.
- Familiarity with regulatory and compliance matters related to corporate, real estate, or M&A transactions.
- Knowledge of legal transaction management software and tools.
- Strong interpersonal skills with the ability to build and maintain client relationships.
Qualifications
- Bachelors degree in required field.
- Masters degree in required field.
- 3–5 years of relevant transactional experience, with a background in mergers and acquisitions, corporate law, private equity, or real estate.
- Solid understanding of transactional law, including the negotiation, documentation, and closing of deals.
- Strong drafting, negotiation, and analytical skills.
- Experience managing complex transactions and working under tight deadlines.
- Ability to work independently while also collaborating effectively in a team environment.
- Excellent written and verbal communication skills, with the ability to interact professionally with clients and colleagues.
- Detail-oriented with the ability to manage multiple projects simultaneously.
