Position Overview:
Our firm is seeking a highly skilled and motivated Corporate Associate Attorney to join our dynamic team in Fort Lauderdale, Florida. The ideal candidate will have at least three years of experience in corporate law and a strong background in handling complex corporate transactions. This role offers the opportunity to work in a collaborative environment on a wide range of matters, including mergers and acquisitions, corporate governance, and business structuring.
Key Responsibilities:
- Advise clients on corporate governance, compliance, and regulatory matters.
- Draft, review, and negotiate contracts, agreements, and other corporate documents.
- Manage mergers, acquisitions, and other business transactions from inception to completion.
- Provide counsel on business entity formation and structuring.
- Conduct due diligence and risk assessment for corporate transactions.
- Collaborate with colleagues across practice areas to provide comprehensive legal support.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Florida Bar (required).
- At least 3 years of experience in corporate law, with a focus on mergers and acquisitions, corporate governance, or business structuring.
- Strong drafting, negotiation, and analytical skills.
- Excellent verbal and written communication abilities.
- Detail-oriented with strong organizational and time-management skills.
- Ability to manage multiple priorities and work effectively under deadlines.
Preferred Skills:
- Experience working with private equity or venture capital transactions.
- Familiarity with regulatory compliance in Florida and federal corporate laws.
- Proven ability to build and maintain strong client relationships.
