A midsize boutique firm is seeking a Commercial Real Estate / Corporate Associate (or counsel) with 5–10 years of experience to join its team. The ideal candidate will have a strong background representing companies, developers, franchisees, investors, and other entities in complex real estate matters, with a focus on commercial leasing, franchise and distribution, and general corporate real estate.

Key Responsibilities :
- Draft and negotiate commercial leases for both landlords and tenants, ensuring favorable terms and compliance with legal requirements.
- Advise clients on the acquisition, disposition, development, and financing of commercial properties, including handling due diligence and structuring complex transactions.
- Represent franchisees in reviewing, negotiating, and renewing franchise agreements, including addressing transfers, disputes, and compliance matters.
- Provide general corporate legal support, including handling asset acquisitions, corporate governance, and structuring joint ventures and partnerships.
- Work on franchise and distribution agreements, advising clients on compliance with state and federal regulations and best practices in franchise law.
- Assist clients in navigating the legal aspects of real estate development, including zoning, permitting, and environmental considerations.
- Collaborate with other departments, including tax, employment, and litigation, to address issues that may arise in real estate and corporate transactions.
- Support clients with strategic planning on corporate structuring, tax implications, and risk management in real estate-related business ventures.
- Provide counsel on real estate financing, including structuring loans and investments, and advising on property management agreements.
- Develop and maintain strong client relationships, ensuring timely and effective legal advice on both transactional and operational matters.
- Supervise and mentor junior associates, sharing expertise and providing guidance on complex transactions and legal issues.
