Job Summary :
Virginia Transformer Corp. is seeking an experienced and proactive General Counsel to lead and manage the companys legal functions, ensuring compliance with all legal, regulatory, and contractual obligations. The General Counsel will provide strategic legal advice to senior management, support business operations, and oversee all legal aspects of corporate governance, contracts, and risk management. Investor relations experience and knowledge of SEC reporting requirements, as well as Sarbanes-Oxley certifications, are highly desirable. Manufacturing industry experience, particularly within capital equipment, is also preferred.
Key Responsibilities :
- Provide strategic legal counsel to senior management on a variety of matters, including contracts, compliance, intellectual property, employment, and regulatory issues.
- Oversee the companys corporate governance framework, ensuring adherence to internal policies and external regulatory requirements.
- Support investor relations activities by providing legal advice related to public disclosures, shareholder communications, and securities compliance.
- Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, supply contracts, customer agreements, and licensing arrangements.
- Identify and mitigate legal risks by implementing robust risk management practices across the organization.
- Manage legal aspects of mergers, acquisitions, joint ventures, and other strategic initiatives.
- Coordinate with external legal counsel as needed to address litigation, specialized legal matters, and complex transactions.
- Ensure compliance with Sarbanes-Oxley (SOX) requirements, SEC regulations , international trade regulations, and government contracts.
- Collaborate with internal departments, including Finance, HR, Operations, and Supply Chain, to address cross-functional legal matters.
- Develop and implement legal policies, processes, and training programs to enhance awareness and ensure compliance across the organization.
- Monitor changes in laws and regulations affecting the company and advise on necessary adjustments to practices and policies.
- Lead and mentor junior legal staff to develop their skills and enhance the overall effectiveness of the legal team.
