Position Summary : The firm is seeking an experienced Associate Attorney to join its business law team, specifically focusing on contracts, mergers, and acquisitions for businesses and privately held entities. The ideal candidate will have a strong background in corporate transactions and be eager to contribute to a dynamic, client-focused practice.
Key Responsibilities :
Draft, review, and negotiate contracts, including partnership agreements, shareholder agreements, and vendor contracts.
Handle mergers, acquisitions, and corporate restructuring for a diverse portfolio of clients, including businesses and privately held entities.
Provide strategic legal advice to clients on corporate governance, regulatory compliance, and risk management.
Conduct due diligence, draft transactional documents, and assist with deal closings.
Collaborate with other attorneys within the firm across various practice areas to deliver comprehensive legal solutions.
Maintain and develop client relationships through a proactive and client-centered approach.
Qualifications :
Juris Doctor (JD) degree from an accredited law school.
3-5 years of experience in business law, particularly with contracts and mergers & acquisitions.
Strong understanding of corporate law and transactional processes.
Excellent legal research, writing, and communication skills.
Ability to work independently while also thriving in a collaborative environment.
