WADE TRIM , a full-service engineering firm, is seeking a highly-motivated strategic professional to work collaboratively in a corporate environment to work directly with Wade Trim’s General Counsel in achieving long-term objectives and goals.We are looking for a Corporate Counsel to join our Legal Team. The candidate must have a Juris Doctor from an accredited law school, current state license to practice law, or the ability to obtain one through reciprocity, and at least three years of legal counsel experience in a major law firm, corporation, or both. The candidate must also have solid and efficient drafting skills with knowledge of standard contracting administration procedures, concepts, principles, and methods. A flexible hybrid-remote work schedule is available after 90 days of employment.Typical responsibilities include : Review, draft, and negotiate a wide range of contracts and legal instruments, communicate areas of concern with suggested solutions, and participate in negotiating resolutions; this includes, but is not limited to, client, subconsultant, vendor, confidentiality, teaming, licensing, and real estate documents.Work with General Counsel and Information Technology to manage, utilize, and implement Contract Lifecycle Management (CLM) software; prior experience utilizing CLM software preferred but not required.Provide legal guidance on contract interpretation and implementation.Prepare all responses to requests for legal or litigation disclosures including, but not limited to, client requests in RFPs and RFQs.Work with General Counsel to manage the organization’s enterprise risk management program, including generating reports relating to contracts and projects.Update, maintain, and communicate records retention policies and procedures.Train employees in the identification of project risk, their responsibilities regarding risk and risk reduction tools and techniques.Provide legal support in regulatory compliance matters.Assist in the management of the organization’s claims and litigation, including working with appropriate business units to resolve claims, contract disputes, and litigation, and providing legal advice as necessary.Investigate and prepare reports of findings into allegations of legal wrongdoing and breaches of company policy.Assist General Counsel with claims management, including litigation and contract disputes, providing legal advice as necessary.Provide legal support for Human Resources issues (policies, termination practices, worker’s comp, legal research, contract review, immigration, changing legal landscape for multi-state / hybrid work force employer, etc.).Assist General Counsel with the maintenance of general corporate legal documentation – update / maintain employee stock agreements, corporate by-laws, notes payable, offer letter, contract labor agreements, summary plan descriptions, etc.Work with General Counsel to oversee the organization’s procedure for identifying, resolving, and addressing project-related conflicts of interest.Assist with legal research, as well as managing, maintaining, and pursuing necessary qualifications for all firm licenses required to conduct business across all jurisdictions.Provide General Counsel and Board assistance with mergers and acquisitions.Assist the General Counsel with all legal issues that may arise.Maintain a safe working environment.Education : Juris Doctor from an accredited law school, and current state license to practice law, or the ability to obtain one through reciprocity.Skills / Experience : 3-8 years of legal counsel experience in a major law firm, corporation, or both.Negotiation skills, and solid ability to make judgment calls during negotiations.Integrity, discretion, and strong analytical and organizational skills with clear attention to detail.Exceptional interpersonal and communication (verbal and written) skills.Strong work ethic and ability to work independently.Results oriented, effective at managing multiple priorities, ability to prioritize conflicting demands, organize time and resources to deliver consistent results for the business, and bring assignments to successful completion.Solid and efficient drafting skills with knowledge of standard contracting administration procedures, concepts, principles, and methods.About Wade Trim : Wade Trim is committed to maximizing the value of infrastructure investments.
